For an industrial plot, where title often runs through an industrial-development authority's allotment, not plain freehold. Fix the estate, allotment/leasehold status, transfer permission, construction deadline, authority dues, sanctioned use, utilities/load and any environmental approval. Per s.54, TPA, this doesn't transfer ownership or allotment rights — the authority's own process still applies.

ਹੇਠਾਂ ਜੋ ਲਿਖਿਆ ਹੈ ਉਹ ਪੰਜਾਬ ਅਤੇ ਚੰਡੀਗੜ੍ਹ ਲਈ ਹੈ। ਇਸ ਵਿੱਚ ਉੱਥੋਂ ਦੀ ਹੀ ਸਥਿਤੀ ਦਿੱਤੀ ਗਈ ਹੈ, ਇਹ ਨਹੀਂ ਕਿ ਇਹ ਕਿੱਥੇ-ਕਿੱਥੇ ਕਿਵੇਂ ਬਦਲਦੀ ਹੈ — ਭਾਵ ਹੇਠਲੀਆਂ ਰਕਮਾਂ ਉਹੀ ਹਨ ਜੋ ਲਾਗੂ ਹੁੰਦੀਆਂ ਹਨ। ਦਰਾਂ ਬਦਲਦੀਆਂ ਰਹਿੰਦੀਆਂ ਹਨ, ਇਸ ਲਈ ਸਬ-ਰਜਿਸਟਰਾਰ ਦਫ਼ਤਰ ਤੋਂ ਪੱਕਾ ਕਰ ਲੈਣਾ ਠੀਕ ਰਹਿੰਦਾ ਹੈ। ਜੇ ਪ੍ਰਾਪਰਟੀ ਭਾਰਤ ਵਿੱਚ ਕਿਤੇ ਹੋਰ ਹੈ, ਤਾਂ ਇਸ ਵਿੱਚੋਂ ਕੁਝ ਵੀ ਤੁਹਾਡੇ ਲਈ ਨਹੀਂ ਹੈ।

AGREEMENT TO SELL AN INDUSTRIAL PLOT

  1. PARTIES AND TRANSACTION

This agreement is made on 1 April 2026 between Harpreet Singh, of House 118, Sector 35-A, Chandigarh, and Aarav Sharma, of House 211, Sector 21, Panchkula.

The industrial property is House 52, Sector 8, Chandigarh, identified as Plot C-42, Industrial Area Phase VIII-B.

Seller capacity: Sole owner. Possession when signed: Seller in possession.

  1. PRICE AND PAYMENT

The total sale consideration is ₹2,50,00,000 (Rupees Two Crore Fifty Lakh only). Earnest/token money is ₹25,00,000 (Rupees Twenty Five Lakh only), leaving balance consideration of ₹2,25,00,000 (Rupees Two Crore Twenty Five Lakh only).

Payment mode: Bank transfer. Payment schedule: ₹25,00,000 on signing; balance on registration after title conditions are satisfied..

Tax withholding: Buyer will deduct and deposit tax where the applicable income-tax provision requires it.

  1. TITLE, DOCUMENTS AND DILIGENCE

Seller relies on the following title/allotment/conveyance record: Sale Deed no. 1842 dated 12 June 2018, Chandigarh.

Diligence position: Buyer will complete title diligence before the stated diligence deadline. Objections should be raised by 2 April 2026.

Encumbrance covenant: Seller will convey free from undisclosed mortgages, charges, liens and third-party rights.

Dues: Seller clears dues attributable to the period before completion.

  1. INDUSTRIAL ALLOTMENT/TITLE

Industrial plot: Plot C-42, Industrial Area Phase VIII-B. Estate/area: PSIEC industrial focal point, 1,000 sq yd.. Title status: Authority allotment/leasehold rights.

Authority transfer: Seller will obtain required transfer permission/NOC before completion.

  1. USE AND CONSTRUCTION CONDITIONS

Industrial use: Buyer accepts the sanctioned industrial use and will obtain approvals for its specific activity.

Construction status: Vacant industrial plot.

  1. AUTHORITY DUES AND UTILITIES

Authority dues: Seller clears transfer/extension/ground-rent dues through completion.

Environmental approvals: Buyer independently obtains activity-specific consents after purchase. Utilities/load: Existing sanctioned utility/load details are disclosed without guarantee of buyer-specific capacity.

  1. COMPLETION CONDITION

Any transfer permission, authority clearance or title-condition compliance selected as a seller obligation must be obtained before the buyer is required to complete, unless the buyer expressly waives it in writing after receiving the relevant record.

  1. COMPLETION AND CONVEYANCE

The parties will complete the sale and execute/register the required conveyance by 3 April 2026, subject to the conditions stated in this agreement.

Section 54 of the Transfer of Property Act, 1882 treats a contract for sale as an agreement that a sale will take place on settled terms; the contract does not by itself create an interest in or charge on the property. The final transfer of ownership must occur through the legally required conveyance/registered instrument.

  1. DEFAULT AND REMEDIES

Buyer default: Seller may terminate and claim reasonable compensation subject to law and the stated earnest-money clause. Seller default: Buyer may seek refund with agreed lawful compensation or pursue available contractual remedies.
