The Landlord relies on Section 106(3) of the Transfer of Property Act, 1882, under which a notice is not invalid merely because the period stated in it falls short of the statutory period, where the suit or proceeding is filed after the expiry of the statutory period.

5. DELIVERY OF VACANT POSSESSION

5.1 The Tenant is required to vacate the Premises and to deliver quiet, peaceful and vacant possession of them to the Landlord on or before the expiry of the Determination Date, together with all keys, access cards and control devices, and the originals of any permits or licences relating to the Premises that are in the Tenant's custody.

5.2 On or before delivery of possession, the Tenant must __________.

5.3 The Tenant must, on or before the Determination Date, pay all rent, goods and services tax, municipal rates, electricity, water and other utility charges and outgoings payable under the Lease up to that date, obtain final meter readings, and cause every utility connection taken in the Tenant's name in respect of the Premises to be transferred or disconnected as the Landlord may reasonably direct.

5.4 The parties will carry out a joint inspection of the Premises at the time of handover and will sign a handover memorandum recording the condition of the Premises, the meter readings and the items handed over. If the Tenant does not attend, the Landlord may record the condition of the Premises by photographs and a written inventory, a copy of which will be sent to the Tenant.

5.5 Any goods, fixtures or materials left in the Premises after the Determination Date remain at the Tenant's risk. The Landlord will give the Tenant written notice and a reasonable opportunity to remove them before dealing with them, and will account to the Tenant for the net proceeds of anything sold, after deducting the costs of removal, storage and sale.

6. IF THE TENANT DOES NOT VACATE

6.1 If the Tenant fails to deliver vacant possession on or before the Determination Date, the Tenant will be in unauthorised occupation of the Premises from the day following that date, and will be liable to pay damages for use and occupation (mesne profits) at __________, in addition to all other sums due under the Lease and at law.

6.2 The Landlord will be entitled to institute proceedings for recovery of possession, for arrears, for such damages, for interest at such rate as the court may allow, and for costs, without any further notice to the Tenant.

6.3 Any sum received by the Landlord from the Tenant after the Determination Date — other than a sum expressly appropriated towards arrears or other amounts accrued up to the Determination Date — will be received and appropriated as damages for use and occupation, and not as rent. The issue of any invoice by the Landlord, and the deduction of tax at source by the Tenant, in respect of such sums is without prejudice to this notice and does not evidence a subsisting tenancy.

6.4 The Landlord will not take possession of the Premises otherwise than in accordance with law. The Landlord will not resort to forcible entry or re-entry, to locking out the Tenant, or to disconnecting or interrupting the supply of electricity, water or other essential services to the Premises.

7. NO WAIVER

7.1 Nothing in this notice, no acceptance of any sum by the Landlord, no correspondence between the parties, and no forbearance or delay on the Landlord's part shall (a) amount to the grant of a fresh tenancy, (b) constitute assent by the Landlord to the Tenant continuing in possession within the meaning of Section 116 of the Transfer of Property Act, 1882, or (c) operate as a waiver of this notice under Section 113 of that Act — unless the Landlord agrees otherwise in a writing signed by or on behalf of the Landlord and expressly referring to this notice.

8. RESERVATION OF RIGHTS

8.1 This notice is given without prejudice to, and in addition to, every other right and remedy available to the Landlord under the Lease, under the Transfer of Property Act, 1882, under any rent or tenancy legislation for the time being in force in the State of __________, and otherwise in law.

8.2 Nothing in this notice is an admission by the Landlord that any rent or tenancy legislation does or does not apply to the Premises or to the tenancy, and all contentions in that regard are reserved. Equally, nothing in this notice takes away any right or defence available to the Tenant under any such legislation.

9. SERVICE OF THIS NOTICE

9.1 This notice is in writing and is signed by or on behalf of the Landlord. It is served __________, in accordance with Section 106(4) of the Transfer of Property Act, 1882 and with any notice provisions of the Lease.
