COMMISSION AGENT / SALES AGENCY AGREEMENT

BETWEEN

__________, of __________, acting through __________ (the "Principal");

AND

__________, of __________, PAN __________ (the "Agent").

1. 1. APPOINTMENT

1.3 The Agent is an independent agent, not an employee or partner of the Principal, chooses how to carry out the work and bears its own costs, including travel and staff, unless the Principal agrees in writing to meet a particular cost. The Agent is not entitled to salary, provident fund, ESI, gratuity or other employee benefit.

1. 2. AUTHORITY OF THE AGENT

2.1 The Agent shall promote the Products, pass orders to the Principal, and give customers only the prices, terms, specifications and warranties in the Principal's current price list and written terms. The Agent has no authority to sign any contract for the Principal, to change a price or term, to collect money for the Principal, or to give any promise, discount or credit the Principal has not approved in writing.

2.2 Each order is an offer to the Principal. The Principal may accept or refuse any order, in whole or in part, for any good reason such as stock, credit risk or price, and shall tell the Agent of its decision within a reasonable time. The sale is a contract between the Principal and the customer, and the Principal alone invoices, delivers and collects payment.

2.3 The Agent shall act honestly, put the Principal's interest first in the work, tell the Principal promptly of any customer complaint, and not take on, during this Agreement, an agency for goods that directly compete with the Products in the area, without the Principal's written consent.

1. 3. COMMISSION

3.3 GST is added to the commission at the rate in force if the Agent is registered, and the Agent shall invoice for it. Where the law requires the Principal to deduct tax at source from the commission, the Principal shall deduct it and give the Agent the certificate for it.

3.4 The Principal may change its prices, terms and Products by written notice, and the commission is then calculated on the new sale value. The Principal bears the risk of a customer not paying; the Agent is not a guarantor of any customer's payment unless it has agreed so in a separate signed writing.

1. 5. TERM AND ENDING

5.2 On ending, the Agent shall return all price lists, samples, documents and Principal property in its possession, and shall stop describing itself as the Principal's agent. The Principal shall pay all commission earned up to the end, subject to clause 3.5.

5.3 No restriction on the Agent after this Agreement ends is created by it, other than the duty of confidentiality in clause 4.

1. 6. DISPUTES AND GOVERNING LAW

6.3 This Agreement is governed by the laws of India.

1. 7. GENERAL

7.1 This Agreement is the entire agreement between the parties about its subject matter and replaces all earlier discussion, whether oral or written.

7.2 No change to this Agreement is effective unless it is in writing and signed by all the parties.

7.3 If any provision is held invalid or unenforceable, the rest of this Agreement continues in effect.

7.4 A notice under this Agreement must be in writing and sent to the other party at its address stated above, or to a new address it has given in writing. It is treated as received on delivery, or on the third day after posting by registered post.
