DIGITAL MARKETING AGENCY AGREEMENT

BETWEEN

__________, of __________, PAN __________, acting through __________ (the "Agency").

  1. 1. SERVICES

1.4 The Agency does not promise any particular search rank, follower count, reach, enquiries or sales. Results depend on the market, the platforms' rules and the Client's own product, price and follow-up.

1.5 The Agency shall not use fake followers, bought reviews, misleading claims or any method the platforms or the law forbid, and shall make advertising claims only from facts the Client has supplied and can support.

  1. 2. FEE AND ADVERTISING BUDGET
  1. 3. ACCOUNTS, CONTENT AND DATA

3.1 The social-media pages, ad accounts, analytics accounts, domain names and customer lists connected with the Client's business belong to the Client. The Agency shall be given access as manager or editor only, shall not change the ownership or recovery details, and shall hand back all access within three working days of the end of this Agreement.

3.2 Content the Agency creates for the Client under this Agreement (posts, designs, copy, videos) belongs to the Client once the fee for the month it was created in has been paid. The Agency keeps its own tools, templates and methods, and may show non-confidential examples of its work in its portfolio unless the Client objects in writing.

3.3 The Agency shall use the Client's customer data only to do this work, keep it secure, not share it with anyone else, and delete or hand it back at the end. Each party shall follow the data-protection law that applies to it.

5.2 Either side may end this Agreement at once by written notice if the other commits a serious breach and does not put it right within seven days of being told, or if the Client does not pay an undisputed invoice within fifteen days of the due date.

5.3 On ending, the Client pays for work done and ad spend incurred up to that day, and the Agency hands over all access, files and reports under clause 3.

  1. 6. DISPUTES AND GOVERNING LAW

6.3 This Agreement is governed by the laws of India.

  1. 7. GENERAL

7.1 This Agreement is the entire agreement between the parties about its subject matter and replaces all earlier discussion, whether oral or written.

7.2 No change to this Agreement is effective unless it is in writing and signed by all the parties.

7.3 If any provision is held invalid or unenforceable, the rest of this Agreement continues in effect.

7.4 A notice under this Agreement must be in writing and sent to the other party at its address stated above, or to a new address it has given in writing. It is treated as received on delivery, or on the third day after posting by registered post.
