Industrial Shed Leave and Licence Agreement

Answer what you can. The draft beside these boxes is rewritten as you go, so you can see exactly what each answer does to the document.

What you type stays in this browser. Moving to a new step asks this site to draw it, but nothing is kept anywhere until you choose to keep a copy — and closing this tab loses it.

The live draft

The draft, as it stands

This is the document as far as you have reached, not the whole of it yet — the rest appears as you answer more questions. It is rewritten every time you change an answer.

A long blank line — __________ — stands wherever an answer has not been given. It is left that visible on purpose, so an unfinished document cannot be mistaken for a finished one.

No answer has been given, so every place a detail belongs is standing blank. The shape of the document is worth reading even now.

INDUSTRIAL SHED LEAVE AND LICENCE AGREEMENT

BETWEEN

__________, __________, of __________ (the "Licensor")

AND

__________, __________, of __________ (the "Licensee")

The Licensor and the Licensee are each a "Party" and together the "Parties".

RECITALS

A. The Licensor owns, or is entitled to license the use of, the industrial shed described below.

B. The Licensee wishes to use the shed for a short period for its business, and the Licensor has agreed to permit that on the terms of this Agreement.

NOW THIS AGREEMENT WITNESSES as follows.

  1. 1. THE LICENCE

1.2 This is a personal licence to use the Shed. It is not a lease, tenancy or transfer of any interest in the land or building. The Licensor keeps legal possession and control of the Shed and may enter it at reasonable times, on notice except in an emergency, to inspect, repair or check compliance. The Licensee shall not part with possession of the Shed, sub-license it or share it with anyone else.

1.3 The Licensor confirms that it owns the Shed or holds the right to license it, that the land use and industrial plot or allotment conditions allow the permitted activity, and that nothing in any lease, loan or allotment stops this licence. The Licensor shall hand over the Shed in a condition fit for that use, and shall record its condition and the fittings in a short handover note signed by both Parties on the start date.

  1. 2. TERM AND LOCK-IN
  1. 3. FEE, DEPOSIT AND CHARGES

3.5 If the Licensee delays a payment by more than seven days, the Licensor may charge interest on the late sum at twelve per cent a year from the due date until paid. The deposit may not be treated by the Licensee as payment of the last months' fee.

  1. 4. HOW THE SHED IS USED

4.2 The Licensee shall obtain and keep in force, at its cost, every licence, registration and consent needed for its own activity and workers, such as any factory, pollution-control, fire, labour and tax registration, and shall comply with the laws that apply to it as an employer and as an occupier of the Shed, including worker safety and welfare, minimum wages and provident fund and insurance contributions. The Licensee, not the Licensor, is the employer of everyone who works at the Shed for it.

4.3 The Licensee shall keep the Shed and its yard clean and in good order, dispose of its waste lawfully, follow the estate's rules on traffic, loading and security, and keep fire-fighting equipment in the Shed in working order. It shall not make structural changes, mount heavy machinery that the floor cannot carry, or install fixed equipment, partitions or signage without the Licensor's prior written consent. Any consented change shall be removed and the Shed restored at the end unless the Licensor agrees in writing to keep it.

4.4 The Licensee's stock, machinery, goods and equipment stay the Licensee's property and at its risk. The Licensee shall insure them against fire and other usual risks and give the Licensor a copy of the policy on request. The Licensor shall keep the building insured. The Licensor shall keep the structure, roof, common areas and building services in good repair, except for damage caused by the Licensee.

4.5 The Licensee shall indemnify the Licensor against fines, claims and losses arising from the Licensee's activity, its workers, its breach of law, or any accident or fire it causes at the Shed. The Licensor is not liable for loss of or damage to the Licensee's goods, except where caused by the Licensor's own negligence.

  1. 5. ENDING THE LICENCE

5.1 Either Party may end this Agreement at once by written notice if the other commits a serious breach and, where it can be put right, does not do so within fifteen days of written notice, or becomes insolvent. The Licensor may end it at once if the Licensee does not pay a sum due within fifteen days of a written reminder, or uses the Shed for a purpose not permitted.

5.2 When the licence ends, for any reason, the Licensee shall on that day stop its activity, remove its machinery, goods and rubbish, clear all hazardous materials lawfully, and hand back the Shed with its keys in the condition recorded in the handover note, ordinary wear excepted. The Licensee has no right to remain. If it does remain, it shall pay the Licensor, for each day of overstay, double the daily rate of the licence fee, without making the overstay lawful, and the Licensor may take back possession lawfully and remove goods left behind, at the Licensee's cost and risk.

  1. 6. NOTICES, DISPUTES AND STAMP DUTY

6.1 Any notice under this Agreement shall be in writing and delivered by hand, registered post, speed post or courier to the address of the receiving Party stated at the head of this Agreement (or any changed address notified in writing), or by email where the Parties have agreed an email address in writing. A notice is treated as received on delivery or, if posted, on the fifth day after posting.

  1. 7. GENERAL

7.1 This Agreement is the whole agreement between the Parties on its subject and replaces every earlier discussion or understanding about it.

7.2 No change to this Agreement is effective unless it is in writing and signed by both Parties.

7.3 A Party's failure or delay in enforcing this Agreement is not a waiver. If any provision is held invalid or unenforceable, the rest of this Agreement continues in force.

Reading costs nothing. Keeping a copy needs an account.

The opening of the draft is on this page as you answer it. Once every answer is in, the button below opens the whole draft, watermarked — still without an account. Printing it, or keeping a clean copy, is where an account is asked for. That is the whole arrangement.

A kept copy has to belong to somebody, and that is the reason for the account. There is nothing further to it.
