5. What this consent does not cover

(c) put up any signboard, hoarding, glow sign or display on or outside the Premises, other than a name plate of ordinary size where the law or the housing society permits one;

(d) make any structural change, addition, partition or alteration to the Premises;

(e) take any additional electricity, water, gas or telecom connection, or change the tariff category of an existing connection;

(f) allow employees, customers or the public to visit the Premises beyond what the Occupant's existing tenancy or permission already allows;

(g) sub-let the Premises, part with possession of them, or give anyone else any right to occupy or use them.

5.4 No interest in property is created. This letter does not create, and must not be read as creating, any tenancy, lease, licence, sub-tenancy, easement or any other right, title or interest in the Premises in favour of the Occupant. It does not add to, extend, renew or vary the Occupant's existing occupation described in clause 3, and it is not a document of title. It is a consent, nothing more.

6. How long this consent lasts

6.1 This consent runs with the Occupant's occupation of the Premises. It takes effect on the date of this letter and ends automatically on the day the Occupant's tenancy or permission described in clause 3 ends, is terminated, or is not renewed — whichever happens first. No separate notice of withdrawal is needed.

6.2 When that happens, the Occupant must promptly stop using the address of the Premises for any purpose and must apply to change or cancel every registration that carries this address. Under GST law an application to amend registration details has to be filed in FORM GST REG-14 within fifteen days of the change, and an application for cancellation in FORM GST REG-16. Similar timelines apply to the other registrations named in clause 4.1.

6.3 If the Occupant does not do so, I may write to the authority concerned informing it that my consent has ended, and I may produce a copy of this letter in support.

7. No liability on me

7.1 I am not liable for any tax, duty, cess, interest, penalty, fee, statutory due, debt or other liability of the Occupant, whatever its nature and whenever it arises. Giving this consent is not a guarantee, surety, indemnity or undertaking by me for any obligation of the Occupant.

7.2 The Occupant will indemnify me and keep me indemnified against any loss, damage, claim, demand, notice, proceeding, attachment, fine or cost (including reasonable legal costs) that I suffer because the address of the Premises has been registered or used by the Occupant. This includes any penalty, reassessment of property tax, revision of electricity tariff, change-of-use charge, housing society fine or municipal action that arises out of the Occupant's use of the Premises or of this letter.

7.3 Nothing in this letter makes me a partner, co-owner, associate, promoter, director or agent of the Occupant, or makes me responsible for anything the Occupant does or fails to do.

8. Communications

8.1 I am not the Occupant's agent for receiving notices. Any letter, notice or summons addressed to the Occupant that reaches me will be passed on to the Occupant at the contact details it has given me, but I take no responsibility for any delay or failure in doing so, and service on me is not service on the Occupant.

9. Document enclosed with this letter

9.1 In support of my ownership or possession of the Premises, I enclose a copy of the following document, which stands in my name and shows the same address as clause 2.1:

ANNEXURE

Checklist — what to file along with this NOC

This annexure is guidance for the Occupant. It is not part of the No Objection Certificate above and the owner is not signing it.

For GST registration (proof of principal place of business, FORM GST REG-01)

  1. This NOC, signed by the owner.
  2. One ownership document in the owner's name — the latest electricity bill, a municipal property tax receipt, a khata copy, or the registered sale deed. This is not optional. The address on it must match clause 2.1 of the letter, or you will get a query.
  3. The rent agreement or lease deed, if there is one, uploaded separately. The NOC does not replace it.
  4. If there is no written rent agreement at all — an affidavit saying so, plus a document showing you are in possession, such as an electricity bill in your own name.
  5. At physical verification under Rule 25 of the CGST Rules, 2017, the officer will normally want a photograph of the premises showing the name board, and a photograph of the inside.
  6. Separately from the address proof, the application needs your PAN, Aadhaar authentication, photograph, proof of constitution and, after registration, your bank account details under Rule 10A.

Things an officer should not be insisting on. CBIC has instructed field officers not to demand documents outside the list prescribed in FORM GST REG-01 — for instance the landlord's PAN or Aadhaar, an original physical copy of an agreement that has been validly uploaded, or an extra NOC where a valid registered agreement is already on record. If you are asked for something outside the list, ask politely for the query to be raised in writing in FORM GST REG-03 so that you have a record.

Upload format. Scan as a clear PDF. The portal shows the size limit on the upload screen — keep the file within it and make sure the address and the signature are readable.

For a registered office under the Companies Act, 2013 (SPICe+ or FORM INC-22)

  • This NOC from the owner, plus
  • a utility bill for the premises not older than two months, plus
  • the lease or rent agreement, if the premises are taken on rent.

For other registrations

Shops and Establishments, trade licence, FSSAI, professional tax and current-account opening generally take the same set — this NOC, the owner's ownership proof and the rent agreement. Check that every one of them is named in clause 4.1 before you send the letter for signature, so that you do not have to go back to the owner twice.

About stamp paper. This letter does not need stamp paper and does not need to be registered. Plain paper or the owner's letterhead is enough for GST. If a particular office or bank insists, Rs 100 non-judicial stamp paper or an e-stamp costs very little and settles the argument.
