When GST, the ROC or a bank needs the owner's no-objection for that business address — stating what's agreed, and what isn't.

What follows is the position for this kind of document. The amount is set by the state the property is in and it changes, so the figure for your own state is worth confirming at the sub-registrar’s office before you pay anything.

Stamp duty

No stamp duty on an NOC — Schedule I, Stamp Act 1899 charges nothing, since it creates no right/title/interest and no payment duty. Plain paper is accepted by GST, ROC and most authorities; many still use Rs 100 e-stamp since a bank/clerk asks — harmless. Real risk: drafting drift into a chargeable licence/lease (e.g. Art.36A, Maharashtra Stamp Act 1958) if it grants occupation for rent — clause 5.4 prevents that. Verify rates first.

Registration

Not registrable — s.17, Registration Act 1908 catches interests worth Rs 100+; an NOC creates none (clause 5.4). The tenancy may need registering: a lease of a year+ (s.17(1)(d), TPA s.107) — hence 11-month deals. Maharashtra: s.55, Rent Control Act 1999 needs every leave-licence registered, penalty on landlord.

Notarisation

Not required by law or the GST portal — CGST Rules want a consent letter, not notarised. Notarise only if asked. It proves the signature only — no fix for a stamping shortfall or missing registration.

Witnesses

Not required — a unilateral letter needs no attestation, though witnesses are cheap evidence against denial. Not optional: every co-owner must sign as a party, not merely witness.

1. Who I am

1.1 I am Sunita Rani Gupta. I am signing this letter as the sole owner of the Premises. Together with Sunita Sharma and X, we are the joint owners of the Premises, and each of us gives the consent set out in this letter.

1.2 I am entitled to give the consent set out in this letter. So far as I am aware, giving it does not breach any agreement, mortgage, title condition or housing society bye-law that applies to the Premises.

2. The Premises

2.1 This letter is about the following property ("the Premises"):

4. My consent

4.1 I have no objection to the Occupant using the address of the Premises as its principal place of business, and to that address being shown, recorded, displayed on statutory documents and verified as such — for the following purposes and for no other purpose:

Registration under the Central Goods and Services Tax Act, 2017 and the Delhi Goods and Services Tax Act, 2017; registration under the Delhi Shops and Establishments Act, 1954; Udyam (MSME) registration; and opening a current account with a bank in the name of the business.

4.2 I have no objection to the authority concerned, or any officer authorised by it, visiting and physically verifying the Premises. I will co-operate with that verification and will produce this letter and my ownership document if asked.

4.3 This consent is given to the Occupant named in clause 3 and to no one else. No other person, firm, company or group entity may use the address of the Premises for any registration on the strength of this letter, and the Occupant may not transfer, assign or share this consent with anyone.

5. What this consent does not cover

5.1 This is consent to use the address. It is not consent to change the use of the Premises. The Premises are residential premises and must continue to be used only as such.

5.2 The activity the Occupant may carry on at or from the Premises is limited to the following, and to nothing more:

Office and administrative work only — correspondence, accounts and record-keeping, and use of the address for statutory communications. No goods will be stored, stocked, manufactured, processed or dispatched at the Premises and there will be no customer or public visits.
