EV CHARGING STATION SPACE LICENCE

BETWEEN

AND

The Owner and the Charging Operator are each a "Party" and together the "Parties".

RECITALS

A. The Owner controls the parking area described below and is entitled to license its use.

B. The Charging Operator installs and runs electric-vehicle charging stations and wishes to do so in that area.

C. The Owner has agreed to license the Bays to the Charging Operator for that purpose on the terms of this Licence.

NOW THIS LICENCE WITNESSES as follows.

  1. 1. THE LICENCE

1.2 This is a licence, not a lease. It gives the Charging Operator no exclusive possession of, or interest in, the land or building, and the Owner keeps control of the premises and may use the rest of them as it wishes. The Bays stay in the Owner's possession and the Charging Operator uses them only for the Station.

1.4 The Owner confirms that it owns the premises or has the right to grant this licence, that nothing in any lease, loan, allotment or society rule stops it, and that it has told its tenants and occupants where that is needed.

  1. 2. TERM AND INSTALLATION

2.2 The Charging Operator shall, at its cost, obtain every approval, licence and registration needed to install and run the Station, including electrical, fire-safety, municipal and any approval needed to operate a public charging station, and shall give the Owner copies on request. The Owner shall sign promptly any application only the Owner can sign.

  1. 3. POWER

3.2 The Charging Operator alone sets the prices it charges drivers, subject to any limit the law places on charging tariffs, collects them, and keeps the revenue, subject to what it owes the Owner under this Licence. Drivers are the Charging Operator's customers, not the Owner's.

  1. 4. MONEY

4.4 All sums are exclusive of GST, which is payable in addition at the rate in force against a valid tax invoice. Each Party bears the taxes on its own income.

  1. 5. SAFETY AND UPKEEP

5.1 The Charging Operator shall install, run and maintain the Station to the standards that apply to electric-vehicle charging equipment and electrical installations, have it tested and certified as the law requires, and keep it in safe working order. It shall provide earthing, over-current and leakage protection, emergency stop, clear safety signage, and fire extinguishers suited to electrical and vehicle fires at the Bays, and shall train its staff on emergencies.

5.2 The Charging Operator shall inspect the Station regularly, repair faults promptly, and remove at once any charger that is unsafe. It shall tell the Owner immediately of any fire, serious accident or electrical fault at the Station.

5.3 The Charging Operator shall keep in force during the term public-liability insurance and insurance on the Station, and give the Owner a copy on request. It shall indemnify the Owner against claims by drivers or others for injury, death or damage arising from the Station or the Charging Operator's operations, except to the extent caused by the Owner. The Owner shall keep the parking area itself in reasonable repair and lighting.

5.4 The Owner may enter the Bays at any time for safety and security, and on notice for inspection or works. The Owner may switch off the Station briefly in an emergency or to carry out essential work on the building's electrical system, giving as much notice as it can. The Charging Operator shall install CCTV or other security only as the Owner approves and shall handle any driver data it collects in line with the law.

5.5 The Charging Operator shall not assign this Licence or let another operator run the Station without the Owner's written consent, which shall not be unreasonably withheld for a transfer to a company that takes over the Station and its obligations. The Station and everything the Charging Operator installs stays its property and does not become part of the building.

  1. 6. ENDING THIS LICENCE
  1. 7. NOTICES, DISPUTES AND STAMP DUTY

7.1 Any notice under this Licence shall be in writing and delivered by hand, registered post, speed post or courier to the address of the receiving Party stated at the head of this Licence (or any changed address notified in writing), or by email where the Parties have agreed an email address in writing. A notice is treated as received on delivery or, if posted, on the fifth day after posting.

  1. 8. GENERAL

8.1 This Licence is the whole agreement between the Parties on its subject and replaces every earlier discussion or understanding about it.

8.2 No change to this Licence is effective unless it is in writing and signed by both Parties.

8.3 A Party's failure or delay in enforcing this Licence is not a waiver. If any provision is held invalid or unenforceable, the rest of this Licence continues in force.
