Use this when a commercial property in Punjab or in the Union Territory of Chandigarh — a shop, an SCO, a showroom, an office floor, a warehouse or an industrial unit — is being sold WITH a sitting tenant, and the Buyer or the Buyer's lender wants the Tenant's own written confirmation of the tenancy before completing the purchase. This is the one document in the platform's five-document "Pre-Leased Property Sale" group that the Tenant signs, rather than the Landlord or the Buyer: the Agreement to Sell (Tenanted Commercial Property), in its Clause 6, obligates the Seller to procure this Certificate from the Tenant by completion, and the Tenant Attornment Letter, the Rent Assignment Letter to New Buyer and the Security Deposit Transfer Letter — the other three documents in the group — are all promises or arrangements between the Landlord and the Buyer alone. This one is the Tenant's own word, given directly to the Buyer. What it is for is in its name. Once the Tenant certifies a fact in this Certificate, knowing the Buyer will rely on it to decide whether, and on what terms, to complete the purchase, the Tenant is stopped — "estopped" — from later telling a court or the Buyer something different: that is the doctrine of estoppel by representation in Section 121 of the Bharatiya Sakshya Adhiniyam, 2023, which carries forward, in the same words, Section 115 of the Indian Evidence Act, 1872, and Clause 9 of this Certificate invokes it directly. A Seller's own representations about the tenancy — in the Agreement to Sell or anywhere else — are only ever the Seller's word about itself; this Certificate is the Tenant's word about the Seller, and it is the Buyer's primary protection against a side letter, an unpaid instalment or a disputed deposit that the Seller's own disclosure missed, whether by oversight or otherwise. The facts this Certificate fixes are the ones a Buyer's or a lender's due diligence checklist always asks a tenant to confirm: that the Lease identified here is the whole agreement between the Tenant and the Landlord, and not one of several documents with a side letter or an oral variation nobody wrote down; the rent presently payable and the date up to which it has actually been paid; the security deposit the Tenant believes the Landlord holds, checked against the figure put to the Tenant for this Certificate; whether the Landlord is, to the Tenant's own knowledge, in default of anything the Lease requires of a landlord; whether the Tenant has any defence, set-off or claim that could reduce what it actually pays going forward; the Lease's exact term, its expiry date, and any option the Tenant has to renew it; and whether the Tenant has been told of any earlier sale, mortgage or charge over the Landlord's interest in the Premises, apart from the sale to this Buyer. Not for a residential tenancy. Not for a property that is vacant, or being handed over vacant — there is no tenancy for a tenant to certify. Not a substitute for the Tenant Attornment Letter, which is what actually redirects the Tenant's rent to the new landlord after completion — this Certificate is given before completion, addressed to the Buyer, and does not by itself change who the Tenant pays. And not a subordination, non-disturbance or attornment agreement of the kind a lender sometimes asks a tenant to sign separately: this Certificate does not subordinate the Lease to anyone's mortgage and does not promise the Tenant anything in return — it runs one way, the Tenant's own confirmation, for the Buyer's protection.

This Certificate confirms facts about an existing Lease; it does not itself grant, assign or vary any lease, sub-lease, licence or other interest in the Premises, and it acknowledges no payment of money. The ad valorem duty on the Lease itself, and separately on the conveyance by which the Landlord sells the Premises to the Buyer, is a matter for the Lease and the Sale Deed and is not repeated here. What this Certificate creates between the Tenant and the Buyer — and, where named, the Buyer's lender — is, at most, a written confirmation of fact: a general instrument chargeable, if at all, only at the nominal fixed duty for an agreement not otherwise provided for, under Article 5 of Schedule I-A to the Indian Stamp Act, 1899 as applicable in Punjab, and under the equivalent Article 5 of the Chandigarh Administration's own schedule of stamp duties. Confirm the current amount at a Stock Holding Corporation of India Ltd e-stamping counter (shcilestamp.com) or the treasury before this Certificate is signed, because neither the Punjab nor the Chandigarh stamp office publishes that figure as prominently as the ad valorem lease and conveyance rates; printing this Certificate on a modest non-judicial stamp paper of Rs 100 or Rs 500 is cheap insurance against the argument that it is worth more than it says. No family or gender concession applies. No revenue stamp under Article 53 of Schedule I to that Act is needed on this Certificate, because it does not acknowledge receipt of any money — that acknowledgment, where one is given, belongs to the Security Deposit Transfer Letter, not to this Certificate.

रजिस्ट्री

Not compulsorily registrable, in Punjab or in Chandigarh. Section 17 of the Registration Act, 1908 reaches a document that itself creates, declares, assigns, limits or extinguishes a right of Rs 100 or more in immovable property, or a lease. This Certificate does neither: it confirms facts about a Lease that already exists, and Clause 10 says in terms that it does not amend, extend or otherwise vary the Lease or affect any interest in the Premises — so nothing in it is registrable on its own account, whichever way each certification below actually comes out. The Lease's own registration position is a different matter, and it is what the Buyer is actually relying on when it relies on this Certificate at all. A lease for a term exceeding one year, or at a yearly rent, is compulsorily registrable under Section 107 of the Transfer of Property Act, 1882 read with Section 17(1)(d) of the Registration Act, 1908, and Section 49 of that Act keeps an unregistered lease of that kind out of evidence of its own term and rent. If the Lease identified in Clause 1 should have been registered and was not, this Certificate's confirmation of its term and rent rests on a document the Tenant may not itself be able to prove before a Rent Controller or a civil court — see lawyerShouldCheck. If the Buyer or its lender nonetheless wants this Certificate registered out of caution, present it in Punjab to the Sub-Registrar of the tehsil in which the Premises lie, via igrpunjab.gov.in, and in Chandigarh to the Sub-Registrar, 30 Bays Building, Sector 17, via revenue.chd.gov.in.

नोटरी

Not required by law, and this Certificate takes effect once the Tenant signs it. Notarisation is optional, and worth doing here more than on most of this library's letters: the Tenant is not a party to the Agreement to Sell (Tenanted Commercial Property) between the Landlord and the Buyer, so a notarial record of who actually signed this Certificate, and when, is independent evidence the Buyer and its lender do not otherwise have. Notarisation does not cure a stamp duty shortfall, and it does not make the certifications themselves any more or less true — it only makes it harder for the Tenant later to deny having signed.

Two witnesses are still provided for below, because what this Certificate is actually for — letting a Buyer complete a purchase, and a lender advance money, on the strength of what the Tenant says — is exactly the kind of document that gets disputed after the money has moved, and a witness who can be produced later is worth more than the wording of any clause.

RECITALS

A. Bluepeak Retail Solutions Private Limited, an individual, of Showroom No. 14, Ground Floor, Feroze Gandhi Market, Ludhiana 141001 ("the Tenant") is in occupation of Showroom No. 14, Ground Floor, Feroze Gandhi Market, Ludhiana 141001, Ludhiana, in the State of Punjab ("the Premises") under the Lease identified in Clause 1 below.

B. Grewal Commercial Properties Private Limited, an individual, of SCO 45, Sector 34-A, Chandigarh 160022 ("the Landlord") is the landlord under the Lease.

C. The Landlord is selling, or has agreed to sell, the Premises to Silverline Estates LLP, an individual, of Plot No. 12, Industrial Area Phase II, Chandigarh 160002 ("the Buyer"), subject to the Tenant's continuing occupation under the Lease. That sale is recorded in an Agreement to Sell (Tenanted Commercial Property) between the Landlord and the Buyer dated 4 April 2026, under which the Landlord has undertaken to procure this Certificate from the Tenant.

D. This Certificate is one of five documents drafted for a sale of tenanted commercial property of this kind in Punjab and in Chandigarh: the Agreement to Sell (Tenanted Commercial Property) itself, between the Landlord and the Buyer; a Tenant Attornment Letter, signed by the Landlord and the Buyer and addressed to the Tenant, redirecting Rent to the Buyer after completion; a Rent Assignment Letter to New Buyer and a Security Deposit Transfer Letter, both between the Landlord and the Buyer, dealing with Rent and the security deposit respectively as between themselves; and this Certificate, the only one of the five that the Tenant itself signs. This Certificate does not restate, and is not a substitute for, any of the other four.

E. The Buyer, and Punjab National Bank, Model Town Branch, Ludhiana as the Buyer's lender, will rely on the certifications in this Certificate in deciding whether, and on what terms, to complete the purchase of the Premises. The Tenant gives this Certificate for that purpose, knowing that it will be relied on.

NOW THE TENANT CERTIFIES as follows.

1. THE LEASE

1.1 The Tenant holds the Premises under a registered Lease Deed dated 2 April 2026, registered as document no. 4102/2023, registered on 5 June 2023 at the office of the Sub-Registrar, Ludhiana (East) between the Landlord as landlord and the Tenant as tenant ("the Lease"), for a term of Nine years, commencing 1 June 2023, expiring on 5 April 2026.

1.2 The Lease gives the Tenant no option or right of any kind to renew or extend the Lease beyond the expiry date stated above.

2. THE LEASE IS THE WHOLE AGREEMENT

2.1 The Lease is the entire and only agreement between the Tenant and the Landlord concerning the Tenant's occupation of the Premises, and has not been amended, modified, supplemented or varied by any other agreement, letter or understanding, written or oral, except as recorded in the Lease itself.
