Virtual Office Agreement

Answer what you can. The draft beside these boxes is rewritten as you go, so you can see exactly what each answer does to the document.

What you type stays in this browser. Moving to a new step asks this site to draw it, but nothing is kept anywhere until you choose to keep a copy — and closing this tab loses it.

Still to answer

Nothing is amiss in what you have written. The document is simply not finished, and the draft marks each gap where an answer will go.

The live draft

The draft, as it stands

This is the document as far as you have reached, not the whole of it yet — the rest appears as you answer more questions. It is rewritten every time you change an answer.

A long blank line — __________ — stands wherever an answer has not been given. It is left that visible on purpose, so an unfinished document cannot be mistaken for a finished one.

No answer has been given, so every place a detail belongs is standing blank. The shape of the document is worth reading even now.

VIRTUAL OFFICE AGREEMENT

BETWEEN

__________, __________, of __________ (the "Provider")

AND

__________, __________, of __________ (the "Client")

The Provider and the Client are each a "Party" and together the "Parties".

RECITALS

A. The Provider is entitled to offer virtual-office services at the premises at the address described below.

B. The Client wants a business address and related services, without any right to occupy the premises, and the Provider has agreed to provide them for a fee on the terms of this Agreement.

NOW THIS AGREEMENT WITNESSES as follows.

  1. 1. WHAT THE PROVIDER PROVIDES
  1. 2. GST, COMPANY REGISTRATION AND OFFICIAL VISITS

2.1 Where the Client may use the Address for company or GST registration, the Provider shall, on request and within a reasonable time, give the Client the papers the authorities ordinarily ask for, such as a signed consent letter for use of the premises and copies of the Provider's proof of ownership or lease and a recent utility bill, and shall not withdraw that consent while this Agreement is in force.

2.2 The Provider does not promise that any authority will accept the Address for any registration. Whether an authority accepts it is for the authority to decide, and the Client is responsible for its own filings and for what it declares to any authority.

2.3 If an officer visits the Address to verify the Client, the Provider shall confirm the arrangement truthfully and show the officer this Agreement. The Client shall not represent to anyone that it occupies or works from the Address in person unless that is true.

2.4 The Provider confirms that it owns the premises at the Address or holds a lease or licence that allows it to offer virtual-office services there, and shall keep that right in force during the term.

  1. 3. NO RIGHT TO OCCUPY

3.1 This is an agreement for an address and services only. It gives the Client no right to occupy, possess or keep anything at any part of the premises, no tenancy or lease, and no interest in the building or land. Any desk or room the Client uses, for example a meeting room, is used only for the booked time under the Provider's rules.

3.2 The Client shall not display signage at the Address other than a name entry on the building directory approved by the Provider, and shall not carry on any manufacturing, storage, retail or other activity at the Address.

  1. 4. TERM, FEE AND PAYMENT

4.4 If the Client does not pay on time, the Provider may, after seven days' written notice, suspend the Services other than receiving and holding mail, until the sum is paid.

  1. 5. CLIENT'S PROMISES

5.1 Before the start date the Client shall give the Provider the identity and business documents the Provider reasonably needs to know its customer, and shall tell the Provider promptly of any change in them.

5.2 The Client shall use the Address only for a lawful business, shall not use it for any illegal, misleading or restricted activity, and shall not allow mail or packages that are dangerous, unlawful or perishable to be sent to it.

5.3 The Provider handles the Client's mail and information only to provide the Services and keeps them confidential, except where the law or an authority requires disclosure.

  1. 6. ENDING THIS AGREEMENT

6.3 The Provider is not liable for loss of or delay to mail beyond its reasonable control, or for any indirect loss. Its total liability under this Agreement is limited to the fees paid for the twelve months before the claim, except for its own fraud.

  1. 7. NOTICES, DISPUTES AND STAMP DUTY

7.1 Any notice under this Agreement shall be in writing and delivered by hand, registered post, speed post or courier to the address of the receiving Party stated at the head of this Agreement (or any changed address notified in writing), or by email where the Parties have agreed an email address in writing. A notice is treated as received on delivery or, if posted, on the fifth day after posting.

  1. 8. GENERAL

8.1 This Agreement is the whole agreement between the Parties on its subject and replaces every earlier discussion or understanding about it.

8.2 No change to this Agreement is effective unless it is in writing and signed by both Parties.

8.3 A Party's failure or delay in enforcing this Agreement is not a waiver. If any provision is held invalid or unenforceable, the rest of this Agreement continues in force.

Reading costs nothing. Keeping a copy needs an account.

The opening of the draft is on this page as you answer it. Once every answer is in, the button below opens the whole draft, watermarked — still without an account. Printing it, or keeping a clean copy, is where an account is asked for. That is the whole arrangement.

A kept copy has to belong to somebody, and that is the reason for the account. There is nothing further to it.
