VENDOR AND SUPPLY AGREEMENT
Agreement for the regular supply of goods by a vendor to a business buyer
- 1. Parties and purpose. This Agreement is made on 1 April 2026 at Ludhiana between Malwa Cycle Components Pvt Ltd, a company incorporated under the Companies Act, 2013, with CIN U12345PB2015PTC123456, whose business address is Plot 41, Focal Point Phase 5, Ludhiana 141010 and whose GST registration number is 03AABCM1234F1Z5 (the Buyer), and Sandhu Precision Tools, a proprietary firm owned by Jagjit Singh Sandhu, whose business address is Plot 7, Industrial Area A, Ludhiana 141003 and whose GST registration number is 03AAAPS5678K1Z2 (the Vendor). The Vendor agrees to supply, and the Buyer agrees to buy, the goods described below on the terms of this Agreement, for the Buyer's business of assembling and selling bicycles.
- 2. The goods. The goods are steel hub sleeves for bicycle wheels, in the sizes listed in the Schedule (the Goods). The specification, quality, brand, size and any sample the Goods must match are: Sleeves of EN8 steel, 36 mm bore, zinc plated, matching the approved sample SL-36 held by both parties. The Vendor will supply the Goods to that specification and to the standard of merchantable quality, and will not substitute another make, grade or size without the Buyer's written consent.
- 3. Price list. The prices of the Goods are set out in the price list in the Schedule at the end of this Agreement. The prices include packing and delivery to the Buyer's store. The Schedule forms part of this Agreement, and if the Schedule and a clause disagree about a price, the Schedule prevails.
- 4. Term. This Agreement starts on 2 April 2026 and continues for 12 months, unless it ends sooner under this Agreement. It ends at the end of the term unless the parties renew it in writing.
- 5. This is not a promise to buy a fixed quantity. The Buyer expects to order about 10,000 pieces a month. This is an estimate and not a promise to buy that quantity. Unless the clause above says otherwise, the Buyer is bound to pay only for Goods that it has ordered under this Agreement, and an estimate or forecast that the Buyer gives is a guide to planning and does not bind the Buyer to order it.
- 6. How orders are placed. The Buyer will order the Goods by a written purchase order sent by email to the Vendor's contact. Each order will state the Goods, quantity, delivery date and place, and the order number. An order is accepted when the Vendor confirms it in writing, or when the Vendor starts to prepare it, or when 2 days pass without the Vendor rejecting it, whichever happens first. The Vendor will not reject an order that is within the quantities and lead time agreed in this Agreement.
- 7. Lead time. The Vendor will deliver each order within 10 days of accepting it, or by the date the order states if that is later. Time for delivery is of the essence of this Agreement.
