Why you need it

When you need it

A short deed changing rent under a running lease, leaving everything else in place — a contractual escalation, mid-term renegotiation, or temporary abatement. Recites the lease, old/new rent, effective date, backdated arrears, GST/TDS, deposit, next-escalation formula; confirms term/lock-in/notice untouched. Not for an expired lease (a holding-over tenant engages s.116 TPA — use a new/renewal lease); changing the term/area/lock-in/use/parties; a rent-controlled residential tenancy; or a leave and licence (substance decides: s.105 lease = exclusive possession/interest; s.52 Easements Act licence = bare permission — regardless of heading). Maharashtra: a leave and licence is compulsorily registrable (s.55) and stamped under Article 36A, not 36. Balanced but leans tenant-side: no interest on backdated arrears, no deposit top-up unless entered, input-credit indemnity — landlords routinely strike these.

Stamp duty

A chargeable instrument in its own right. Lease duty is ad valorem on average rent, term, deposit/premium (Article 36 Maharashtra, 30 Karnataka, 35 elsewhere). A rent increase is charged as a lease on the additional rent for the unexpired term; a reduction gets nominal/residuary duty — states vary, and a deposit top-up read as premium can raise it sharply. No family concession. E-stamp before execution.

Registration

s.107 TPA/s.17(1)(d) requires registration for a lease from year to year, over a year, or at yearly rent; a rent-variation deed under such a lease is treated the same — s.49 makes an unregistered one inadmissible to prove the new figure. Present within four months (s.23), four more on fine (s.25). Fees ~1%, state-capped.

Notarisation

Not an alternative to registration — a notarised but unregistered variation still fails s.49. Useful only where the addendum falls outside s.17 (a short abatement under an unregistrable lease, or an internal group record) or for stamp-value attention instead: a deficient instrument is impounded (s.33) and penalised.

Witnesses

Two adult witnesses, full name/address; a lease needs no attestation like a mortgage (s.59) or gift (s.123), but two is settled practice and expected at the Sub-Registrar. For registration, both parties (or an agent under a registered POA) appear with photo ID; a company needs a board resolution. A joining guarantor signs and appears the same way.

ADDENDUM TO LEASE — VARIATION OF RENT

This Addendum is made at Bengaluru on 1 April 2026

BETWEEN

Meridian Estates Private Limited, of 3rd Floor, Prestige Atrium, 1 Central Street, Bengaluru 560001, acting through Mr Rohit Menon, Director, authorised by board resolution dated 2 September 2026, PAN AACCM1234F, GSTIN 29AACCM1234F1Z5 (the "Landlord", which expression includes its successors in title and permitted assigns);

AND

Northline Analytics LLP, of Unit 402, Sigma Tech Park, Whitefield, Bengaluru 560066, acting through Ms Anjali Rao, Designated Partner, PAN AAFFN5678K (the "Tenant", which expression includes its successors and permitted assigns).

The Landlord and the Tenant are together the "Parties" and each a "Party". Northline Holdings Private Limited, of 12 Residency Road, Bengaluru 560025 (the "Guarantor") joins this Addendum for the limited purpose stated in clause 7.5.

RECITALS

A. By a lease dated 2 April 2026 (the "Lease"), the Landlord demised to the Tenant the premises described as: The entire 4th floor admeasuring 8,450 sq ft of super built-up area in the building known as Sigma Tech Park, Survey No. 118/2, Whitefield, Bengaluru 560066, together with 12 reserved car parking bays in the basement (the "Premises"). The Lease is registered as follows: Document No. 4521/2024, Book I, registered on 8 April 2024 at the office of the Sub-Registrar, Whitefield. The Lease has already been varied as follows, and every such variation continues in force save so far as this Addendum varies it: Supplementary Deed of Variation dated 1 April 2025, registered as Document No. 1180/2025, Book I, at the office of the Sub-Registrar, Whitefield, by which the rent was revised to Rs. 675,000 per month.

B. The Lease is subsisting and neither Party has served notice to determine it. Unless sooner determined, the term of the Lease expires on 3 April 2026. The rent presently payable under the Lease is ₹6,75,000 (Rupees Six Lakh Seventy Five Thousand only) per month. The security deposit presently held by the Landlord under the Lease is ₹20,25,000 (Rupees Twenty Lakh Twenty Five Thousand only).

C. The Parties have agreed to vary the rent. The basis of the variation is the escalation for which the Lease already provides, now applied and recorded. The Parties refer in this connection to clause 4.3 (Escalation) of the Lease.

D. The Parties are executing this Addendum to record the varied rent, the date from which it takes effect, and the consequences of the variation, and to confirm that the Lease otherwise continues unchanged.

NOW THIS ADDENDUM WITNESSES as follows.

  1. DEFINITIONS AND INTERPRETATION

1.1 Words and expressions defined in the Lease have the same meaning in this Addendum unless this Addendum provides otherwise.

1.2 This Addendum is supplemental to the Lease and forms part of it. From the Effective Date, references in the Lease to "this Lease" are to be read as references to the Lease as varied by this Addendum.

1.3 "Effective Date" means 4 April 2026. "Revised Rent" means the rent stated in clause 2.1. "Term" means the term of the Lease.

1.4 If there is any conflict between this Addendum and the Lease on the subject of rent, this Addendum prevails. On every other subject, the Lease prevails.

  1. VARIATION OF RENT

2.1 With effect from the Effective Date, and subject to the remainder of this clause 2, the rent payable by the Tenant for the Premises is ₹7,08,750 (Rupees Seven Lakh Eight Thousand Seven Hundred and Fifty only) per month, in place of ₹6,75,000 (Rupees Six Lakh Seventy Five Thousand only) per month.

2.2 The Revised Rent is exclusive of municipal and property taxes, maintenance and common-area charges, parking charges, and utilities. Each of those continues to be borne and paid as the Lease provides, and none of them is varied by this Addendum. Goods and services tax on the Revised Rent is dealt with in clause 3 and nowhere else in this Addendum.

2.3 The Revised Rent is payable on the same dates, in the same manner and to the same account as rent under the Lease, unless the Landlord notifies a different account in writing at least fifteen days in advance.
