HOARDING / ADVERTISEMENT SITE LICENCE
This Hoarding / Advertisement Site Licence (this "Licence") is made at Chandigarh on 2 April 2026.
BETWEEN
Sandhu Estates Private Limited, an individual, of House No. 1230, Sector 33-D, Chandigarh 160020, acting through Harpreet Sandhu, Director (the "Licensor");
AND
Punjab Outdoor Media Private Limited, an individual, of Plot No. 78, Industrial Area Phase 8B, Mohali 160055, acting through Rohan Malhotra, Director (the "Licensee").
The Licensor and the Licensee are each a "Party" and together the "Parties".
RECITALS
A. The Licensor is the owner of, or is otherwise lawfully entitled to grant rights over, the site described in clause 1 below.
B. The Licensee wishes to erect or use a hoarding structure at that site to display advertisements for a fee, and the Licensor has agreed to grant that right on the terms of this Licence.
C. The Parties record that this Licence grants the Licensee a licence within the meaning of s.52 of the Indian Easements Act, 1882 to do something at the Site that would otherwise not be lawful for it to do — erect or maintain a hoarding structure and display advertisements on it — and does not grant, and is not intended to grant, exclusive possession of the Site, a lease, sub-lease, tenancy or easement, or any other estate or interest in the Site or in the land or building of which it forms part. Clause 12 states this at length, because it is what keeps this Licence outside the stamp duty and registration regime that applies to a lease.
NOW THIS LICENCE WITNESSES as follows.
1.1 The Licensor grants the Licensee a personal, non-exclusive, non-transferable licence to erect, install, display and maintain a hoarding structure and advertisements on it at the rooftop of the building known as Sandhu Tower, Plot No. 4, Sector 33-D, Chandigarh, situated at Chandigarh, in the State of Punjab (the "Site"), being the rooftop or terrace of a building, for the term stated in clause 3.
1.2 Where the Licensor holds the Site under an allotment, lease or other grant from a development authority, an Estate Officer or another allotting authority, clause 11 applies.
2.1 The Licensee shall, at its own cost, design, fabricate and erect the hoarding structure at the Site.
2.3 The hoarding structure, including any fabrication, mounting and the advertisement face displayed on it, shall not exceed the following: 40 feet wide by 20 feet high, on a single structure not exceeding 30 feet in total height.
3.1 This Licence commences on 1 April 2026 and, unless earlier terminated under clause 14, continues for 5 years, expiring on 2 April 2026.
3.2 The renewal position is: this Licence may be renewed for a further term only by a fresh written agreement between the Parties, on terms to be negotiated afresh, and neither Party is obliged to agree to a renewal.
