When you need it

Use this when one business leases machinery or equipment to another: a loader, crane, generator, press, CNC machine, medical equipment or similar. It is a lease of the machine, not of any premises. It records exactly which machine it is, who operates it, the term and lock-in, the monthly rental, any hour limit and excess charge, the deposit, who services and who insures it, what happens on breakdown or loss, an optional purchase at the end, and return.

The Lessor stays the owner throughout; the Lessee only has the right to use. The Lease says the machine stays movable property even if fixed to the Lessee's land, and that the Lessee must keep it clear of its own creditors. Not for: a bank or finance-company lease or hire-purchase (use the financier's document); leasing premises (a lease deed); or a one-time sale of equipment (a sale agreement). Before signing, record the machine's identification numbers and hour reading on a delivery note, check that the Lessor really owns it free of any loan security, and decide who insures it.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

This is a lease of movable goods, not land, so it is not stamped like a lease of immovable property. It is a written agreement and may attract stamp duty as an agreement in Punjab or Chandigarh, and a high-value arrangement may be charged differently. Check the current figure with the Collector of Stamps or a licensed stamp vendor before signing.

Registration

Not required. Registration applies to leases of immovable property. A lease of movable equipment is not registered, even for a long term.

Notarisation

Not required. Either party may have its signature notarised for extra evidence.

Witnesses

Not required. Both parties sign and date the Lease, and sign the delivery note separately.
