Why you need it

When you need it

Lets an owner authorise someone else to use the address on a government record: GST registration where the applicant doesn't own/lease the premises, a company's (s.12, Companies Act 2013) or LLP's (s.13, LLP Act 2008) registered office, Udyam registration (self-declared, keep on file), Shops and Establishments registration, or bank KYC. Narrow by design: minimum is address-use only. Two wider options — people working there, or goods stored there — stay a bare, unpaid, non-exclusive licence; paid, it's a leave and licence/rent agreement instead. Never transfers the property or creates a tenancy or agency. Not for a tenant/licensee (landlord signs, or a sub-letting NOC); not real rent dressed as consent; not to let someone sign documents/run accounts (needs a POA); not an unoccupied address — GST verifies premises under CGST Rule 25.

Stamp duty

No ad valorem duty — transfers nothing, creates no agency; not a conveyance or Article 48 POA. No relative concession: consent to a son is stamped like consent to a stranger. GST accepts plain paper, but officers/banks often expect nominal stamp paper (Rs 100 Maharashtra, Rs 50-100 Delhi/Karnataka — verify), under the residuary 'agreement' article. The two wider options stay duty-free only while unpaid and non-exclusive; paid, it's a leave and licence, stamped ad valorem on rent plus deposit.

Registration

Not compulsorily registrable — s.17, Registration Act 1908 needs an interest in property; address-use creates none. Travels as an attachment to FORM GST REG-01, SPICe+/INC-22, or the bank's KYC file. Occupation over a year, year-to-year, or at yearly rent falls within s.17(1)(d); Maharashtra s.55 compels registration of every leave and licence regardless of length. The wider options stay unregistrable only while unpaid/non-exclusive.

Notarisation

Not required by statute — CBIC accepts plain paper — but officers/banks often insist, so budget for notarised; MCA needs none. Abroad: notary public, Indian consular officer or prescribed authority, apostille/consular attestation, stamped within three months of first receipt if chargeable (s.18, Stamp Act).

Witnesses

Not required by law; two — name, address, signature — help if disputed later. What matters: every co-owner signs or the consent is incomplete; a company/LLP signs through a board-authorised person, resolution attached; signature must match the enclosed ID. Minor's or trust's premises: take advice first.

Sir / Madam,

1. WHO I AM

I, Meena Kulkarni, wife of Shri Anil Kulkarni, of X (the Owner), am writing this letter of consent.

This letter is signed for the Owner by X, Director, authorised by a board resolution dated 12 March 2026, who is duly authorised to sign it.

A copy of the Owner's Aadhaar card, bearing number X, is enclosed as proof of identity, together with a copy of the identity document of the signatory named above.

2. THE PREMISES

This letter relates to the property at X (the Premises). The Premises are a residential flat.

Area of the Premises: 62 sq. m. carpet area.

Municipal, khata or survey identification of the Premises: Property Tax No. 4/11/0234/09.

I hold the Premises under the following title: Registered Sale Deed. Particulars: registered on 4 August 2019 as document no. 6721/2019 with the Sub-Registrar, Haveli No. 4. A copy of the title document is enclosed.

The Premises form part of Shanti Niketan Co-operative Housing Society Ltd.. So far as I am aware, giving this consent does not contravene the bye-laws of that body.

The Premises are owned jointly. The other owners are: Anil Kulkarni, son of Shri Ramesh Kulkarni, residing at the same address, holding a one-half undivided share. Each of them joins in this consent and signs at the end of this letter.

3. THE APPLICANT

I give this consent to Vayu Analytics Private Limited, an individual applying in his or her personal capacity (the Applicant).

The Applicant acts through X, Director.

The Applicant's relationship to me is: my son, who is a director of the company.

4. THE CONSENT I AM GIVING

I have no objection to, and I consent to, the Applicant showing and using the address of the Premises for the following purpose: registration of the premises as the registered office of a company under section 12 of the Companies Act, 2013.

I also consent to the address being used for these further purposes: registration under the Employees' Provident Funds and Employees' State Insurance legislation, with the premises shown as the employer's address.

This consent extends to use of the address for registration, records and correspondence only, with no business activity carried on at the premises.

This letter may be produced before any authority, bank, registrar or officer before whom the Applicant makes an application for the purpose stated above.

5. WHAT THIS LETTER DOES NOT DO

This is the important part, and it is why the letter is worded as it is.

(a) No transfer. This letter does not sell, transfer, convey, mortgage, gift or otherwise dispose of the Premises or any part of them, and it creates no right, title or interest of any kind in the Premises in favour of the Applicant. No person may rely on it as evidence of any transfer of the Premises.

(b) No tenancy. Except where a separate arrangement is recited at the end of this clause 5, this letter does not create a lease, tenancy or sub-tenancy, and confers no right of exclusive possession; any presence at the Premises permitted by clause 4 is a bare and gratuitous permission — a licence, in the sense of section 52 of the Indian Easements Act, 1882, in the States where that Act applies — revocable under clause 7, and the Applicant acquires no protection under any rent control or tenancy legislation by reason of this letter. Whatever clause 4 permits by way of persons working at the Premises or goods or stock kept there, the Applicant shall not have exclusive possession of the Premises or of any part of them, shall not exclude me from them, and shall not part with, share or sub-licence any part of them. Where a separate arrangement is recited at the end of this clause 5, the Applicant's occupation of the Premises is governed by that arrangement alone; nothing in this clause 5, including the restrictions in the preceding sentence, and nothing in clause 7, shortens, varies or determines that arrangement, and this letter and its withdrawal operate only on the use of the address.
