MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (this "MOU") is made at Chandigarh on 1 April 2026.
BETWEEN
Northline Analytics Private Limited, an individual, of Plot No. 8, Phase 8-B, Industrial Area, S.A.S. Nagar (Mohali) 160055, acting through Rohit Nair, Director ("Party A");
AND
Bansal Fresh Foods, an individual, of Shop No. 22, Sector 22-C, Chandigarh 160022, acting through Kavita Bansal, Proprietor ("Party B").
Party A and Party B are each a "Party" and together the "Parties".
RECITALS
A. Party A and Party B are exploring a distribution arrangement under which Party B would stock and sell Party A’s packaged food products in Party B’s retail outlets in Chandigarh and Mohali.
B. The Parties wish to record the basis on which they will explore that collaboration, without at this stage binding either Party to enter into a definitive agreement.
NOW THIS MOU RECORDS AS FOLLOWS.
- PURPOSE AND SCOPE
1.1 The purpose of this MOU is as recorded in Recital A.
1.2 During the term of this MOU, the Parties shall: Sharing product and pricing information, running a two-month pilot stocking arrangement at one outlet, and preparing a draft Distribution Agreement for both Parties’ review.
1.3 The Parties contemplate that, if their discussions are successful, they will negotiate and enter into A Distribution Agreement, on terms to be agreed separately. Nothing in this MOU obliges either Party to enter into that agreement, and clause 8 states what is and is not binding under this MOU.
- NOT A DEFINITIVE AGREEMENT
2.1 This MOU records the Parties' present intention to explore the collaboration described above. Except for clauses 4, 5, 6, 8, 9, 10 and 11, which are binding on the Parties as stated in clause 8, nothing in this MOU is intended to, or does, create a binding obligation on either Party to proceed with, complete, or agree the terms of any collaboration or definitive agreement.
- EXCLUSIVITY
3.1 During the term of this MOU, neither Party shall discuss or negotiate a substantially similar collaboration with any third party without the other Party’s prior written consent
