When you need it

For completing the sale of an industrial plot, a shed, or a plot with a shed on it, once the price is paid. Industrial property often comes through an allotment from an industrial development authority, so the deed records whether it is freehold or held on allotment or lease, the authority's permission to transfer, and that the authority's dues are paid.

It also says whether a running unit is being sold; its licences, machinery and workers are not part of this deed. Not for a house or a flat (use the Sale Deed (Bainama)), or an agricultural plot, and not for the earlier agreement (use the Agreement to Sell an Industrial Plot).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Duty is paid on or before signing, on the higher of the price and the Collector rate; industrial land and buildings have their own Collector rates. PUNJAB: 5% duty plus 1% Social Infrastructure Cess, 1% Board fee and 0.25% Special Infrastructure Development Fund (7.25% in all); registration fee 1% (cap Rs 2,00,000); facilitation charge by price band; pasting fee Rs 200. CHANDIGARH: 5% on a freehold sale and, as recorded in the library Sale Deed (Bainama), 3% where what passes is lease rights; registration fee 1% (cap Rs 10,000); pasting fee Rs 20. The allotting authority's transfer fee is separate. Confirm every figure at the Sub-Registrar's office before buying stamp.

Registration

Registration is compulsory. Present the deed within four months of signing; every executant must appear and admit signing, with photographs and fingerprints taken, and the buyer should attend too. An unregistered deed does not pass the rights.

Notarisation

Does not replace registration. Execute and register the deed; notarise only an affidavit that goes with it if the office asks.

Witnesses

Two witnesses, with their own photo identity. In Chandigarh the first witness must be of a kind the Punjab Registration Manual accepts, such as an advocate, a gazetted officer or a councillor, and known to the Sub-Registrar.
