A short deed amending an existing, already-executed commercial lease of premises in Punjab or Chandigarh — to record the Lessee taking additional space adjoining the Premises, the Lessee surrendering part of the Premises back to the Lessor, and/or a freshly negotiated rent figure that is not the Lease's own scheduled escalation clause firing. Recites the Lease, the Premises as let and as varied, the new area and/or rent, the effective date, GST and TDS on a revised rent, and confirms the term, lock-in, notice, permitted use and every other term of the Lease continue unchanged. Not for a scheduled percentage escalation the Lease already provides for, a temporary rent abatement, backdated arrears, or a variation that needs a guarantor's joinder built in — the Rent Escalation or Variation Addendum is drafted for those and this Addendum complements it rather than replacing it. Also not for an expired lease (a holding-over tenancy engages s.116 of the Transfer of Property Act, 1882 — take a fresh or renewal lease instead); a change so large in substance that it amounts to a fresh letting; a residential tenancy; or a coworking seat or managed-office licence, where no leasehold interest exists to vary. An increase in area or in rent is commonly charged to stamp duty as if it were a fresh lease of the increment for the unexpired residue of the Term, at the same banded rate the Lease itself paid on that residue; a reduction generally attracts only nominal or residuary duty. Neither the Punjab nor the Chandigarh stamp schedule carries an entry written specifically for a deed that only varies an existing lease, so the figure actually assessed on this Addendum is a matter of departmental practice rather than a published variation rate — settle it with the Sub-Registrar of the tehsil in Punjab, or the Sub-Registrar, U.T. Chandigarh at the 30 Bays Building, before execution, and see what a lawyer should check. PUNJAB: a lease pays 4% of annual rent under one year, 8% one to five years, 3% five to ten years, 3% of twice the average rent ten to twenty years, 3% of three times twenty to thirty years, and 3% of four times thirty to ninety-nine years, plus 1% registration fee (twice on the ten-to-twenty band), Rs 500 facilitation and Rs 200 pasting. CHANDIGARH: 2% up to five years plus 3% on the refundable security deposit only, never advance rent (verified at the Sub-Registrar, SAS Nagar (Mohali), September 2026), 3% plus 3% five to ten years, 3% of twice plus 3% ten to twenty years, 3% of three times plus 3% twenty to thirty years, and 3% of four times plus 3% thirty to a hundred years, plus 1% registration fee capped at Rs 10,000 and Rs 20 pasting. Neither schedule carries an entry written specifically for a deed that only varies an existing lease's area or rent, so the amount actually assessed on THIS Addendum is a matter of departmental practice rather than a published variation rate. Registration

Follows the Lease it varies. Where the Lease is one s.107 of the Transfer of Property Act, 1882 and s.17(1)(d) of the Registration Act, 1908 make compulsorily registrable — year to year, over a year, or at a yearly rent — a deed varying its area or its rent is treated the same way, and s.49 of that Act bars an unregistered variation from being used to prove the new area or the new rent. Present within four months of execution (s.23); the Registrar may condone up to four further months on a fine of up to ten times the registration fee (s.25); after that the deed cannot be registered at all. PUNJAB: the Sub-Registrar or Joint Sub-Registrar of the tehsil in which the Premises lie, booked on NGDRS at igrpunjab.gov.in, registration fee 1% of the amount the deed is charged on. CHANDIGARH: the Sub-Registrar, U.T. Chandigarh, 30 Bays Building, Sector 17, booked at revenue.chd.gov.in, presentation between 12 noon and 1 pm, registration fee 1% capped at Rs 10,000 plus Rs 20 pasting. Whether THIS Addendum needs to be presented for registration as its own instrument is exactly the open question flagged in what a lawyer should check — confirm it with the registering office before relying on either path.

Notarisation

Not an alternative to registration — a notarised but unregistered Addendum to a Lease that itself required registration still fails s.49 and cannot prove the new area or rent. Useful only for the papers around this Addendum: a board resolution or authority letter, a guarantor's consent, confirmation of the head-lease residue where the Lessor itself holds on a sub-lease, or a title check on the additional space. A power of attorney used to execute or present this Addendum needs authentication under s.33 of the Registration Act, 1908 before execution, in Punjab or in Chandigarh alike; an unauthenticated power is refused at the counter in both.

Sethi Estates Private Limited, of House No. 1204, Sector 33-C, Chandigarh 160020, acting through Harpreet Kaur Sethi, Director, authorised by board resolution dated 4 March 2026, PAN AABCS1234K, GSTIN 03AABCS1234K1ZQ (the "Lessor", which expression includes the Lessor's successors in title and permitted assigns);

AND

Northline Analytics Private Limited, of Plot No. 8, Phase 8-B, Industrial Area, S.A.S. Nagar (Mohali) 160055, acting through Rohit Nair, Director, authorised by board resolution dated 6 March 2026, PAN AAECN5678L (the "Lessee", which expression includes the Lessee's successors and permitted assigns).

The Lessor and the Lessee are together the "Parties" and each a "Party".

RECITALS

A. By a lease dated 1 April 2026 (the "Lease"), the Lessor demised to the Lessee the premises described as: Unit 305, Third Floor, Tower B, Bestech Business Tower, Plot No. C-2, Sector 66, S.A.S. Nagar (Mohali) (the "Premises"), situated within the State of Punjab. The Lease is registered as follows: Document No. 2214/2022, Book I, registered on 5 April 2022 at the office of the Sub-Registrar, S.A.S. Nagar (Mohali).

B. The Premises presently comprise 2,400 square feet, and the rent presently payable under the Lease is ₹3,60,000 (Rupees Three Lakh Sixty Thousand only) per month. Unless sooner determined, the term of the Lease expires on 4 April 2026. The Lease is subsisting and neither Party has served notice to determine it.

C. The Parties have agreed to vary the Lease as recorded in clause 2 below, and are executing this Addendum to record that variation, the date from which it takes effect, and to confirm that the Lease otherwise continues unchanged.

NOW THIS ADDENDUM WITNESSES as follows.

  1. DEFINITIONS AND INTERPRETATION

1.1 Words and expressions defined in the Lease have the same meaning in this Addendum unless this Addendum provides otherwise.

1.2 This Addendum is supplemental to the Lease and forms part of it. From the Effective Date, references in the Lease to "this Lease" are to be read as references to the Lease as varied by this Addendum.

1.3 "Effective Date" means 2 April 2026. "Term" means the term of the Lease.

1.4 If there is any conflict between this Addendum and the Lease on the subject of the area of the Premises or the rent payable for them, this Addendum prevails. On every other subject, the Lease prevails.
