When you need it

In an office tower, mall, business park or industrial estate, the landlord usually runs a diesel generator (DG) set, a common water supply, lifts and sometimes central air-conditioning for all tenants. The lease says little about it, and disputes follow: who pays for DG power, at what rate, how it is metered, what happens in a long outage, how often it is billed, and when supply can be stopped for non-payment.

This agreement fixes those terms in one place. It records the backup load the tenant is allotted, how DG power is metered and charged (by unit on a sub-meter, or a fixed charge for the allotted load), how the rate is changed when fuel costs change, the other utilities and common services, billing and payment, interest on late payment, the landlord's duty to keep the plant working with reasonable care, and what the landlord is not liable for. It also deals with the tenant's own grid electricity connection, which is billed directly by the electricity supplier. Use it with a lease of commercial premises in Punjab or Chandigarh where the landlord provides backup power or shared utilities. It supplements the lease. It fixes no rate: the rates you enter are the ones agreed between the parties.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

An agreement of this kind is stamped as an agreement under the stamp law that applies in Punjab or Chandigarh, unless it is signed with the lease or forms part of it and is stamped with the lease. Check the current figure with the Sub-Registrar or on the e-stamp portal. This template states no duty figure.

Registration

Not compulsorily registrable on its own, because it creates no interest in the premises. If it is made part of a registered lease, it is registered with that lease.

POWER BACKUP AND UTILITIES AGREEMENT

This Agreement is made at Chandigarh on 1 April 2026 between Sethi Estates Private Limited, of SCO 12, Sector 17-C, Chandigarh 160017 (the "Landlord"), and Northline Analytics Private Limited, of Plot 5, Phase 8-B, Industrial Area, Mohali 160055 (the "Tenant"). The Landlord and the Tenant are each a "Party" and together the "Parties".

RECITALS

A. The Landlord has let to the Tenant the premises known as Office 304, Third Floor, Tower B, Elante Business Park, Industrial Area Phase 1, Chandigarh 160002 (the "Premises") under Commercial Lease Deed dated 1 April 2026 (the "Lease").

B. The Landlord provides backup power and certain shared utilities to the building, and the Parties wish to record the terms on which the Tenant receives and pays for them.

  1. 1. THE TENANT'S OWN ELECTRICITY CONNECTION

1.1 The Tenant's ordinary electricity from the grid is supplied by the electricity supplier under the Tenant's own connection, or the building's connection as the Lease provides. Charges to the supplier are the Tenant's, or are shared as the Lease provides, and are outside this Agreement.

  1. 2. POWER BACKUP

2.1 The Landlord shall provide power backup to the Premises from the building’s 750 kVA DG set, with an allotted backup load of 40 kVA to the Premises (the "Backup Supply"), when the grid supply fails.

2.2 The Landlord aims to supply the Backup Supply for the whole of any grid outage, subject to the fuel stock and the plant’s working order.

2.3 The Tenant shall not draw more than its allotted load from the Backup Supply. If the Tenant needs more, it shall ask the Landlord in writing, and the Landlord may agree a larger load on a revised charge.

2.4 The Tenant shall connect to the Backup Supply only at the points the Landlord provides, and shall not tamper with, bypass or damage the sub-meter, the changeover or any wiring.

  1. 3. METERING AND CHARGES FOR BACKUP POWER

3.1 The Tenant shall pay for the Backup Supply by units consumed on the DG sub-meter at the Premises, at Rs 24 per unit.

3.2 A minimum charge applies: Rs 2,500 a month even if the DG is not used. Revision of the rate: the rate shall be revised on the first day of each quarter in proportion to the change in the average price of diesel in that quarter, with a statement.

3.3 The Landlord shall keep the sub-meter in working order and shall have it tested or calibrated on the Tenant's reasonable request. If a test shows an error, the Landlord shall correct the bills for the period it can reasonably be shown to have run, and refund or credit any excess.

3.4 If the sub-meter stops working, the Tenant shall pay on the basis of its average consumption in the three months before, until the meter is repaired or replaced.

  1. 4. OTHER UTILITIES AND COMMON SERVICES

4.1 The following utilities and common services are provided, and are charged as stated: Common water supply, lifts, common-area lighting and security are included in CAM. Central air-conditioning is provided from 9 am to 7 pm on working days at Rs 12 per square foot per month.
