When you need it

Use this when a person, firm or company takes premises on lease to run a restaurant, cafe, dhaba or food outlet. It covers what a shop lease leaves out: kitchen fit-out, exhaust and smell, grease and drains, gas, food and fire licences, liquor, opening hours, waste, pests, delivery riders, and a rent that may include a share of sales.

Answer the questions from the landlord's title papers, the building plan and your business plan. Papers to attach: the landlord's title papers, identity and address proofs of both parties (Aadhaar with the number masked, passport, driving licence or voter identity card), the tenant's registration papers, and the plan. A lease of more than one year must be registered, so both sides go to the Sub-Registrar with two witnesses and each keeps a registered original. The tenant shows a copy to the food, fire and local authorities when it applies for its licences. The form asks where the premises are and when they were first let, because Punjab has two rent Acts divided by that date and Chandigarh uses the 1949 Act, and it records who pays for the kitchen, the exhaust, the licences and the insurance, and what happens if an authority closes the restaurant.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Punjab and Chandigarh: a restaurant lease is a lease chargeable under Schedule I-A to the Indian Stamp Act, 1899. The duty is worked out from the term, the rent and any premium, by the tables of the Punjab and the Chandigarh Administration, so a long term and a high rent mean more duty; check the stamp duty with the Sub-Registrar before you buy the stamp paper, and buy it in the name of the Tenant unless the parties agree otherwise.

Registration

Punjab and Chandigarh: a restaurant lease for a term of more than one year, or reserving a yearly rent, must be registered under section 17(1)(d) of the Registration Act, 1908. A shorter lease need not be registered, but a food licence office and a bank may ask for a registered lease, so registration is advised. Both parties attend with identity papers and two witnesses.

Notarisation

Punjab and Chandigarh: notarisation is not required for a registered lease. A licensing office may ask for a notarised copy of the lease or of the identity papers, and the parties can obtain one from a Notary Public.

Witnesses

Punjab and Chandigarh: two adult witnesses sign the Lease and attend the Sub-Registrar if asked, so that each party's signature can be proved.
