When you need it

A lease of a standalone site — a rooftop, an external or boundary wall, a stretch of vacant land, or the airspace over a road frontage — let out purely so the Lessee, an outdoor-advertising or hoarding company, can erect and operate a hoarding, unipole, billboard or gantry structure for advertising. There is no other tenancy bundled with it: the Lessor is not letting premises for the Lessee to trade from, only a footprint for the structure itself.

Not for a sign or board that identifies a shop, showroom or office tenant's own business at premises that tenant already occupies under its own lease, rent agreement or leave and licence — that is a much smaller thing, a bare licence layered on an existing tenancy, and the Signage Rights Letter in this library is the document for it. That Letter's own text describes the gap this Agreement fills as "a hoarding or advertisement site let out as a standalone commercial activity in its own right, unconnected with any tenancy" — which is exactly this Agreement's subject, and exactly why this Agreement is drafted as a lease granting exclusive possession of the Site for the Term, stamped and registered like any other lease of immovable property, rather than as a bare licence: a hoarding structure with its own foundation, standing on a footprint given over to it alone for years at a time, is the same kind of exclusive, lasting occupation that the Signage Rights Letter's own lawyerShouldCheck flags as outgrowing a licence when it discusses a monument or pylon sign. Also not for a temporary banner or hoarding put up for a few days for an exhibition, a sale or an election campaign — this Agreement is for a standing structure let for a term of a year or more. This Agreement fixes the Site and the structure permitted on it, the Rent and how it escalates, the security deposit, the structural stability certificate the Lessee must obtain before erection and periodically afterwards — a hoarding is a real structure exposed to wind and weather, and Indian cities have seen fatal hoarding collapses, so this is treated with the same seriousness as a building's own structural safety — municipal or other outdoor-advertising permission, insurance and liability for the structure, maintenance, and the Lessee's obligation to remove the structure and restore the Site when the Lease ends. It also makes clear that the Lessor has no relationship with, and no say over, which advertisers the Lessee's own business displays on the hoarding from time to time, provided the content is lawful. Where the Term runs for more than a year, this Agreement is compulsorily registrable in exactly the same way as a lease of an entire shop or office — the structure's footprint being small does not change that.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

This Lease creates exclusive possession of the Site for the Term at a Rent, so it is stamped as a lease under Article 35 of Schedule I-A to the Indian Stamp Act, 1899, in the same way as any other lease of immovable property in Punjab or in Chandigarh — the same bands that apply to a full commercial lease, applied here to the Rent for the Site rather than to the rent of an entire shop or office. The figures below are the same as those already worked out for the Commercial Lease Deed in this library, checked 6 September 2026 against each department's own published table (undated tables). PUNJAB: a Term of under one year is stamped at 4% of the annual Rent; one to five years at 8% of the average annual Rent; five to ten years at 3%; ten to twenty years at 3% of twice the average annual Rent; twenty to thirty years at 3% of three times it; thirty to ninety-nine years at 3% of four times it. Registration fee is 1% of the same base (twice that on the ten-to-twenty-year band), plus a facilitation charge of Rs 500, a pasting charge of Rs 200 and a mutation charge of Rs 600. E-stamp through the Stock Holding Corporation of India Limited before execution. CHANDIGARH: up to five years, 2% of the average annual Rent plus 3% on the refundable security deposit only — never on advance Rent; five to ten years, 3% plus 3% on the deposit; ten to twenty years, 3% of twice the average annual Rent plus 3% on the deposit; the bands continue upward on the same pattern to a hundred years. Registration fee is 1%, capped at Rs 10,000, plus a pasting charge of Rs 20. There is no separate band for a term under one year. BOTH: neither jurisdiction gives a family or gender concession on a commercial lease of this kind. A duplicate or counterpart is separately chargeable under Article 25. If the Site is under-stamped, the deficiency and any penalty fall on whichever Party this Lease names to bear the duty under Clause 19, and the instrument is impounded until the deficiency is paid — confirm the current figure at the counter before the Site is handed over, because a small structural footprint attracts the same percentage as an entire shop, on whatever Rent the Parties actually agree.

Registration

Registration is compulsory wherever this Lease is for a term exceeding a year, from year to year, or reserves a yearly rent — Section 107 of the Transfer of Property Act, 1882 and Section 17(1)(d) of the Registration Act, 1908 reach a lease of a small hoarding footprint exactly as they reach a lease of an entire building; the Site being physically small does not take it outside either section. Present this Lease for registration within four months of execution under Section 23 of the Registration Act, 1908; a further four months is available on a fine of up to ten times the registration fee under Section 25. An unregistered Lease that needed registration is kept out of evidence of its own term and Rent under Section 49, and the Lessee is left with a monthly tenancy at best — a real risk here, because an outdoor-advertising company's hoarding sites often run for several years each on paper that nobody thought needed a Sub-Registrar's stamp. PUNJAB: present at the Sub-Registrar of the tehsil in which the Site is situated, via igrpunjab.gov.in. Whether Section 4(1)-(2) of the Punjab Rent Act, 1995 — which requires a covered non-residential letting to be on the Schedule I Form and registered at a flat Rs 1,000 fee, notwithstanding the Registration Act, 1908 — reaches a Site let only for a hoarding structure, rather than for the Lessee's own business occupation, is exactly the question the Commercial Lease Deed in this library leaves open for a full premises letting, and it is at least as open here; see lawyerShouldCheck. CHANDIGARH: present at the Sub-Registrar, 30 Bays Building, Sector 17, via revenue.chd.gov.in. Registration fee is 1%, capped at Rs 10,000, plus a pasting charge of Rs 20.

Notarisation

Not an alternative to registration — a notarised but unregistered Lease that needed registration still fails Section 49 of the Registration Act, 1908 — and adds nothing where registration follows. Use a notary for the papers around this Lease instead: a board resolution or authority letter for whoever signs for a corporate Party, and a power of attorney used to execute or present this Lease, which needs authentication under Section 33 of the Registration Act, 1908 (by the registering officer, a magistrate, or, if executed abroad, a notary followed by consular attestation) before this Lease is executed, not after.

Witnesses

No statute makes a witness's signature a condition of this Lease taking effect between the Parties — Section 107 of the Transfer of Property Act, 1882 needs only execution by both — but two witnesses, adults, not the Parties or their signatories, remain good practice, and the signature block provides for them. Where this Lease is presented for registration, the registering office's own rule applies: in Chandigarh, under paragraph 127 of the Punjab Registration Manual, the first witness must be known to the Sub-Registrar — in practice a councillor, a gazetted officer or an advocate — and the two witnesses known to each other; in Punjab, two identifying witnesses with photo identity, captured in NGDRS.

HOARDING OR SIGNAGE SPACE LEASE AGREEMENT

This Hoarding or Signage Space Lease Agreement (this "Lease") is made at Chandigarh on 2 April 2026.

BETWEEN

Malhotra Estates Private Limited, an individual, of SCO 55, Sector 20-C, Chandigarh 160020, PAN AABCM3456N, acting through Ramesh Malhotra, Director (the "Lessor", which expression includes its successors in interest and permitted assigns);

AND

Skyline Outdoor Media Private Limited, a company incorporated under the Companies Act, 2013, of Plot No. 214, Industrial Area Phase II, Chandigarh 160002, PAN/GSTIN AAECS7890P, acting through Priya Malhotra, Partner (the "Lessee", which expression includes its successors in interest and permitted assigns).

The Lessor and the Lessee are each a "Party" and together the "Parties".

RECITALS

A. The Lessor is the owner of, or is otherwise entitled to let, the building, wall or land known as the boundary wall fronting the National Highway, Plot No. 214, Industrial Area Phase II, Chandigarh, situated in the State of Punjab.

B. Within or upon that building, wall or land, the Lessor has agreed to let to the Lessee, and the Lessee has agreed to take on lease, a defined and exclusively demarcated space described in Clause 1 (the "Site"), for the purpose of erecting and operating a standalone hoarding structure for outdoor advertising, unconnected with any other tenancy.

C. The Parties record the terms of that lease in this Agreement.

NOW THIS LEASE WITNESSES as follows.

  1. 1. THE SITE AND PERMITTED USE

1.1 The Lessor lets to the Lessee, and the Lessee takes on lease from the Lessor, the space described as: the ground at the north-eastern end of the boundary wall fronting the National Highway, together with a five-foot strip on either side for maintenance access, measuring approximately 150 sq ft (the "Site"), forming part of the building, wall or land described in Recital A.

1.2 The Lessee shall use the Site solely to erect, operate and maintain a unipole structure on its own foundation, with a display face not exceeding 40 feet wide by 20 feet high (the "Structure"), and to license, sell or otherwise make available display space on the Structure to its own advertising clients as part of its outdoor-advertising business, and for no other purpose, without the Lessor's prior written consent.

1.3 The Lessee shall have exclusive possession of the Site for the Term, subject to the Lessor's rights of access under Clause 11.

1.4 The Lessor has no relationship with, and no right against, any advertiser whose content is displayed on the Structure from time to time, and no right to choose or object to a particular advertiser or brand, except as Clause 7.2 (content restrictions) provides.

  1. 2. TERM AND RENEWAL

2.1 This Lease commences on 1 April 2026 and, unless earlier terminated under Clause 15, expires on 2 April 2026 (the "Term").
