When you need it

You already hold a power of attorney from someone else and you now need another person to act in your place, for example because you are travelling or ill, or the work is in another city. This deed appoints that substitute.

You say whether you rely on a clause in the original power that allows substitution, or on the principal's written consent. A person who took on work as an attorney generally cannot pass it on unless the original power allows it or the principal agrees. A substitute cannot have more power than you have, and the substitution ends when your own power ends. You remain answerable to the principal for how the work is done. Not for appointing an attorney in the first place: see the Special Power of Attorney. Not for ending an attorney's authority: see Revocation of Power of Attorney.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

A power of attorney is chargeable with stamp duty. In Punjab and Chandigarh the amount depends on what the power covers, and this document prints no figure. Confirm the current amount at the Sub-Registrar’s counter or an authorised e-stamp vendor before you buy stamp paper. This deed is treated as a power of attorney in its own right, so the stamp for it is separate from the stamp on the Original Power.

Registration

Registration is not ordinarily needed to make the substitution effective. If the Original Power was registered, or if the Substitute will present a document for registration, the Sub-Registrar will usually want this deed executed and authenticated in the same way as ss.32 and 33 of the Registration Act, 1908 require. Ask the office the Substitute will deal with before you sign.

Notarisation

Sign before a Notary Public in Punjab or Chandigarh. Offices and banks usually expect this. If you sign outside India, the document normally needs consular attestation or an apostille before it is accepted here; check what the receiving office wants.

Witnesses

Two adult witnesses are asked for below, as ordinary good practice. They should know both the Principal and the Attorney.

SUB-ATTORNEY DEED

I, Jaspreet Singh Sandhu, son/daughter/wife of Sh. Harbans Singh Sandhu, residing at House No. 22, Phase 3B1, Mohali 160059 (the "Attorney"), hold a power of attorney dated 2 April 2026, signed at Chandigarh by Amarjit Kaur Sandhu, residing at House No. 811, Sector 8, Chandigarh 160009 (the "Principal"), in my favour, registered as document no. 1234 at the Sub-Registrar’s office, Mohali, for managing and selling Plot No. 245, Sector 70, Mohali (the "Original Power"). I appoint, constitute and nominate:

Gurpreet Singh Gill, son/daughter/wife of Sh. Mohan Singh Gill, of House No. 5, Sector 40, Chandigarh 160036 (the "Substitute"),

to act in my place under the Original Power, upon the terms of this Deed.

  1. 1. MY AUTHORITY TO APPOINT A SUBSTITUTE

1.1 I confirm that the Original Power expressly allows me to appoint a substitute attorney.

1.2 The clause of the Original Power that allows it is clause 9.

  1. 2. WHAT THE SUBSTITUTE MAY DO

2.1 In the Principal's name, the Substitute may exercise all the powers given to me by the Original Power.

2.3 The Substitute shall have no power that I do not myself have under the Original Power, and shall not use any power the Original Power does not give me. The Substitute may not appoint a further substitute.

2.4 Under the Indian Contract Act, 1872 a substitute properly appointed acts for the Principal. The Substitute shall act honestly and in the Principal's interest, shall pay over to the Principal at once any money received, and shall keep a written account of everything received or paid.

  1. 3. MY OWN RESPONSIBILITY

3.1 I remain the Principal's attorney and remain answerable to the Principal as the Original Power and the law require. I shall give the Principal written notice of this Deed and a copy of it.

  1. 4. WHEN THIS DEED ENDS

4.1 This Deed ends automatically when the Original Power ends for any reason, including its revocation by the Principal, the Principal's death or becoming of unsound mind, the completion of the work it covers, or my ceasing to be the Principal's attorney.

4.2 I may revoke this Deed at any time by written notice to the Substitute. The Principal may also revoke it, or the Original Power, at any time.

  1. 5. DURATION

5.1 This Deed remains valid until I revoke it in writing, or the Original Power ends, whichever is earlier

  1. 6. GENERAL

6.1 This Deed is governed by the laws of India, and the courts at Chandigarh alone have jurisdiction over any dispute arising from it. If any provision is held invalid, the rest continues in effect.

IN WITNESS WHEREOF I have signed this Deed at Chandigarh on 1 April 2026.
