When you need it

A private company in Punjab or Chandigarh needs a written board resolution, certified as a true copy, because a landlord, bank or the Registrar of Companies asks to see that the directors approved a step. You choose which: taking premises on lease for the company, borrowing money from a bank or lender, or appointing a new director.

The one document prints only the part for the step you choose, with the meeting particulars, the authority given to a named person to carry it out, and a certificate at the end. A resolution records a decision the board really took at a properly called meeting, with a quorum; it should not be signed afterwards for a meeting that never happened. A company's directors cannot do everything by board resolution: borrowing beyond the limit the law sets, or selling or leasing out the company's undertaking, needs members' approval too, and an appointment of a director needs the person's own written consent and declarations. This document says so and leaves room for them. Not for opening a bank account or naming who signs on it (use the Board Resolution for Bank Account and Authorised Signatory). Not for a one-person company, an LLP or a partnership, which authorise things differently.

Subject: Resolution for taking premises on lease

A. THE MEETING

A meeting of the Board of Directors of the Company was held on 1 April 2026 at the registered office of the Company. Harleen Sandhu, Director took the chair. The directors present were: Harleen Sandhu, Jaspal Singh Sandhu and Gurmeet Kaur. Notice of the meeting had been given to all the directors as the law and the Articles of Association require, and the quorum required by them was present throughout the item recorded below.

B. THE RESOLUTION

The following resolution was put to the meeting and passed:

"RESOLVED THAT the Company take on lease the premises at Showroom No. 4, Sector 34-A, Chandigarh 160022 from Mr. Ranjit Singh Dhillon, for use as the Company's retail showroom, at a monthly rent of ₹85,000 (Rupees Eighty Five Thousand only) for a term of 36 months, with a refundable security deposit of ₹2,55,000 (Rupees Two Lakh Fifty Five Thousand only), on the terms of a lease deed to be settled and signed.

RESOLVED FURTHER THAT Jaspal Singh Sandhu, Director be authorised to settle the terms of the lease deed, to sign it and every related paper for the Company, to pay the stamp duty, registration charges and deposit, to appear before the Sub-Registrar where registration is required, and to do all other things needed to take and use the premises."

C. WHAT THIS RESOLUTION DOES NOT DO

This resolution records the Board's decision and the authority it gives. It does not replace any approval the law requires from the members, any consent, declaration or disclosure that a director must give in writing, or any filing with the Registrar of Companies, a bank or another office; each of those is done separately, and the other party may ask for its own documents as well. The minutes of the meeting, including this resolution, are kept in the Company's minute book.

CERTIFICATE

Certified to be a true copy of the resolution passed at the meeting of the Board held on 1 April 2026. The resolution has not been amended, revoked or superseded.
