When you need it

Before a company in Punjab or Chandigarh appoints a person as a director, the company needs that person's written consent to act, a statement that the person is not disqualified from being a director, and a disclosure of the person's other directorships and interests. This is the director's own letter doing all three, addressed to the company's board, for the company's file and for the board to rely on when it passes the appointment resolution.

The Companies Act and its rules also prescribe forms for the director's consent and for some declarations, to be filed with the Registrar. This document is not a copy of any prescribed form; the prescribed form may have to be signed and filed in addition, and the company secretary or a professional should confirm which. This letter gives the director's own statements in plain words, so the board has them on record. Be truthful: a false declaration of eligibility or interest can cost the director and the company dearly. Not for the board's own resolution (use the Board Resolution (Lease, Loan or Director)). Not for a director of an LLP, whose partners act under the LLP agreement.
