When you need it

A shareholder of a private company in Punjab or Chandigarh sells or gives shares to another person, and the company must approve the transfer and record the new owner. This document has two parts: the transfer deed between the seller (transferor) and the buyer (transferee), with the price and the seller's promises about the shares; and the company board's resolution approving the transfer, directing the entries in the register of members and the issue of a new share certificate.

The Companies Act and its rules prescribe their own form of share transfer instrument, to be signed and stamped, and the company's articles may restrict transfers or give other shareholders a first right to buy. This document is not a copy of the prescribed form: the prescribed form may have to be signed and stamped in addition, and its present requirements should be confirmed. This deed is the covering transfer letter and the resolution that go with it. Not for selling a whole running business (use the Business Sale Agreement). Not for the terms between founders or investors (use the Shareholders' Agreement). Not for a transfer by inheritance or by court order.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty is payable on the instrument of transfer of shares at the rate fixed by the Indian Stamp Act, 1899 as it applies to share transfers, and shares held in a dematerialised form are charged differently from shares held as paper certificates. The figure and the manner of payment are not stated here: confirm them on the official e-stamping portal or with the company's professional before signing, and use the prescribed transfer form where the law requires it. An under-stamped transfer cannot be received in evidence until the deficit and penalty are paid.

Registration

Not registrable. Whether a filing with the Registrar of Companies or another office follows, and in which form, is for the current rule and a company secretary or lawyer to confirm.

Notarisation

Not required. The record is signed by the person named in it and kept in the company or business file; a certified true copy is signed by an authorised person.

Witnesses

No witness is needed.
