When you need it

Someone who created a work (the author, designer, programmer, photographer, writer, composer or their business) permanently transfers the copyright in it to another person or business, usually for a price. This deed records exactly which work, which rights, for what period and what territory, the price, and the creator's promises that the work is original and free of other people's claims.

The Copyright Act, 1957 demands care: an assignment must be in writing and signed by the assignor, and must say which rights are assigned, for how long and in which territory. If the period is not stated, the law reads it as five years, and if the territory is not stated, as India only; and if the assignee does not use the rights within a year the assignment can lapse unless the deed says otherwise. This deed states these points expressly so the transfer is not cut down. The author also keeps certain personal rights (to be credited and to object to distortion) that the law protects. Not for a licence that lets someone use the work while you keep ownership (use the relevant licence or the Freelancer or Influencer agreement). Not for a trademark (a trademark is dealt with under the Trade Marks Act). Not for a patent.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty depends on what the paper does and on the Schedule to the Indian Stamp Act, 1899 as applied in Punjab and in Chandigarh. An agreement of this kind is usually charged as an agreement not otherwise provided for, at a modest fixed figure, but the figure is not stated here: confirm it on the official e-stamping portal or with the Sub-Registrar before buying the stamp. If a clause makes the paper in substance something else (a transfer of property, a lease, a power of attorney, a guarantee), it is charged as that. An under-stamped paper cannot be used as evidence until the deficit and penalty are paid.

Registration

Not compulsorily registrable unless it creates or transfers a right in immovable property (section 17, Registration Act, 1908); this paper is not meant to. Registration is optional if the parties want it.

Notarisation

Not required by law, and not a substitute for stamping. A notary only records that the signatories appeared and signed, which makes it harder to deny a signature later. Carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties, each writing name, address and ID reference beside the signature, make a later denial harder.

BETWEEN

Simran Kaur, of House No. 1120, Sector 38-B, Chandigarh 160036, PAN AKJPI4432R (the "Assignor");

AND

Sandhu Handicrafts Private Limited, of SCO 14, Sector 17-C, Chandigarh 160017, acting through Harleen Sandhu, Director (the "Assignee").

  1. 1. THE WORK

1.1 The work to which this Deed relates is: The illustrated pattern book "Phulkari Motifs of Punjab", 120 pages with 80 original drawings, created between 2023 and 2025. (the "Work"), together with its drafts, source files, artwork and all material that forms part of it.

1.2 The Assignor made the work alone, as its sole author, and not as an employee of anyone.

  1. 2. THE ASSIGNMENT

2.1 In return for the price in clause 3, the Assignor assigns to the Assignee, absolutely, the following rights in the Work: all the rights of the copyright owner in the work, including to reproduce, publish, adapt, translate, communicate to the public, and make copies in any form or medium, and to license others to do so.

2.2 The territory of the assignment is the whole world, and its duration is the whole period for which the copyright lasts, including any renewal or extension. The Parties state these expressly so that the periods and territory the law would otherwise read in do not apply. The Assignee's rights shall not lapse for want of use within any period, and no use is required of it.

2.3 The assignment includes the right to sue for any infringement of the Work, whether before or after this Deed, and to keep what is recovered. The Assignor shall give the Assignee the originals, files and information needed to use and protect the Work, and shall sign any further paper the Assignee reasonably asks for to register or enforce the rights, at the Assignee's cost.

2.4 The Assignor keeps the personal rights of an author that the law protects and does not give up, including the right to be named as the author where the law gives it and to object to a distortion or mutilation of the Work that would harm the Assignor's honour or reputation. The Assignee shall credit the Assignor as author in the usual way where it publishes the Work, and the Assignor will not use these rights to stop the Assignee's ordinary use and adaptation of the Work, to the extent the law permits.

  1. 3. PRICE

3.1 The Assignee shall pay the Assignor ₹1,50,000 (Rupees One Lakh Fifty Thousand only) for the assignment, on signing this Deed, by bank transfer, and the Assignor acknowledges receipt. No royalty is payable; the price is the whole payment. Where the law requires the Assignee to deduct tax at source, it shall deduct it and give the Assignor the certificate for it, and GST, if any applies to the Assignor's supply, is added at the rate in force.
