When you need it

A business in Punjab or Chandigarh hires an agency or a freelancer to run its online marketing: social media pages, search ads, social-media ads, search engine optimisation, email or messaging campaigns, content. This agreement sets what the agency will do each month, the monthly fee, who pays for the advertising budget, what reports the agency owes, who owns the ad accounts, pages and content, and how either side can leave.

The points that most often go wrong are covered: the client, not the agency, should own the ad accounts and pages; the advertising budget should be kept separate from the agency's fee; and the agency should promise effort and reporting, not an assured rank, follower count or sales figure, which no one can honestly promise. Not for a one-off design or writing job (use the Freelancer Agreement). Not for paying an influencer to post (use the Influencer or Brand Collaboration Agreement). Not for building the website itself (use the Website or Software Development Agreement).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty depends on what the paper does and on the Schedule to the Indian Stamp Act, 1899 as applied in Punjab and in Chandigarh. An agreement of this kind is usually charged as an agreement not otherwise provided for, at a modest fixed figure, but the figure is not stated here: confirm it on the official e-stamping portal or with the Sub-Registrar before buying the stamp. If a clause makes the paper in substance something else (a transfer of property, a lease, a power of attorney, a guarantee), it is charged as that. An under-stamped paper cannot be used as evidence until the deficit and penalty are paid.

Registration

Not compulsorily registrable unless it creates or transfers a right in immovable property (section 17, Registration Act, 1908); this paper is not meant to. Registration is optional if the parties want it.

Notarisation

Not required by law, and not a substitute for stamping. A notary only records that the signatories appeared and signed, which makes it harder to deny a signature later. Carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties, each writing name, address and ID reference beside the signature, make a later denial harder.

DIGITAL MARKETING AGENCY AGREEMENT

This Agreement is made at Chandigarh on 2 April 2026.

BETWEEN

Sandhu Handicrafts Private Limited, of SCO 14, Sector 17-C, Chandigarh 160017, acting through Harleen Sandhu, Director (the "Client");

AND

Pixel Pulse Media LLP, of Plot 22, Industrial Area Phase 1, Chandigarh 160002, PAN AKJPI4432R, GSTIN 03AKJPI4432R1Z9, acting through Rohan Bedi, Partner (the "Agency").

  1. 1. SERVICES

1.1 From 1 April 2026 the Agency shall provide these services each month: 12 Instagram posts and 8 stories, management of Facebook and Google ad campaigns, and replies to comments within one working day.

1.2 The Agency shall do the work with reasonable skill and care, keep to the Client's brand and lawful instructions, and send the Client a written report every month showing what was done, what was spent and the main results the platforms report.

1.3 The Client shall approve or comment on content sent for approval within 2 working days. Content not answered within that time may be published as sent only if the Client has said in writing that silence means approval; otherwise it waits.

1.4 The Agency does not promise any particular search rank, follower count, reach, enquiries or sales. Results depend on the market, the platforms' rules and the Client's own product, price and follow-up.

1.5 The Agency shall not use fake followers, bought reviews, misleading claims or any method the platforms or the law forbid, and shall make advertising claims only from facts the Client has supplied and can support.

  1. 2. FEE AND ADVERTISING BUDGET

2.1 The Client shall pay the Agency a fee of ₹35,000 (Rupees Thirty Five Thousand only) per month, before GST. The Agency shall invoice at the start of each month and the Client shall pay within 7 days of the invoice. GST is added at the rate in force if the Agency is registered. Where the law requires the Client to deduct tax at source, the Client shall deduct it and give the Agency the certificate for it.

2.2 Advertising budget: The Client pays the ad platforms directly from the Client's own accounts, and the Agency only sets up and manages the spending. The approved monthly advertising budget is ₹50,000 (Rupees Fifty Thousand only), and the Agency shall not spend more than that in any month without the Client's written approval. The advertising budget is not part of the Agency's fee, and the Agency earns no hidden margin, commission or discount on it unless the Client has agreed to it in writing.

  1. 3. ACCOUNTS, CONTENT AND DATA

3.1 The social-media pages, ad accounts, analytics accounts, domain names and customer lists connected with the Client's business belong to the Client. The Agency shall be given access as manager or editor only, shall not change the ownership or recovery details, and shall hand back all access within three working days of the end of this Agreement.
