When you need it

A business, firm or person in Punjab or Chandigarh hires a freelancer, a self-employed designer, writer, developer, photographer, editor or other worker, for a defined piece of work for a fee. This agreement fixes what will be delivered and by when, how many rounds of changes are included, how the fee is paid, who owns the finished work, and how either side can end the arrangement.

The freelancer is not an employee: no salary, no provident fund or ESI, no fixed hours, and the freelancer decides how the work is done and carries their own tax. If in practice the person works fixed hours under the client's day-to-day direction, a labour authority or court may treat them as an employee whatever this paper says, so describe the real arrangement. Not for a retained professional adviser on a monthly basis (use the Service / Consultancy Agreement). Not for building a website or software (use the Website or Software Development Agreement) or for an influencer or brand tie-up (use the Influencer or Brand Collaboration Agreement).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty depends on what the paper does and on the Schedule to the Indian Stamp Act, 1899 as applied in Punjab and in Chandigarh. An agreement of this kind is usually charged as an agreement not otherwise provided for, at a modest fixed figure, but the figure is not stated here: confirm it on the official e-stamping portal or with the Sub-Registrar before buying the stamp. If a clause makes the paper in substance something else (a transfer of property, a lease, a power of attorney, a guarantee), it is charged as that. An under-stamped paper cannot be used as evidence until the deficit and penalty are paid.

Registration

Not compulsorily registrable unless it creates or transfers a right in immovable property (section 17, Registration Act, 1908); this paper is not meant to. Registration is optional if the parties want it.

Notarisation

Not required by law, and not a substitute for stamping. A notary only records that the signatories appeared and signed, which makes it harder to deny a signature later. Carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties, each writing name, address and ID reference beside the signature, make a later denial harder.

FREELANCER / INDEPENDENT CONTRACTOR AGREEMENT

This Agreement is made at Chandigarh on 2 April 2026.

BETWEEN

Northline Analytics Private Limited, of Plot No. 8, Phase 8-B, Industrial Area, S.A.S. Nagar (Mohali) 160055, acting through Anita Verma, Director (the "Client");

AND

Priya Menon, of House No. 340, Sector 9, Panchkula 134109, PAN AKJPI4432R, GSTIN 03AKJPI4432R1Z9 (the "Freelancer").

  1. 1. INDEPENDENT STATUS

1.1 The Freelancer works as an independent contractor and not as an employee, partner or agent of the Client. The Freelancer decides how, where and when the work is done, subject to the deadline, and uses their own tools.

1.2 The Freelancer is not entitled to salary, provident fund, ESI, gratuity, leave or any other employee benefit, and is responsible for their own income tax and, where applicable, GST.

  1. 2. THE WORK

2.1 The Freelancer shall do the following work: Design a logo, a brand colour guide and ten social-media post templates for the Client.

2.2 The Freelancer shall hand over: Final logo as PNG, SVG and PDF; the guide as a PDF; templates as editable files.

2.3 The work starts on 1 April 2026 and the final work is to be delivered by 2 April 2026. If the Client delays giving material, approvals or feedback the Freelancer needs, the delivery date moves by the same number of days.

2.4 The fee includes 2 rounds of changes asked for in writing and within the scope in clause 2.1. Further rounds, or changes that go beyond that scope, are extra work to be priced and agreed in writing before they start.

2.5 The Freelancer confirms that the work will be the Freelancer's own original work, and that it will not knowingly copy anyone else's material or break anyone's rights. Any third-party material (fonts, stock images, software) the Freelancer uses will be licensed for the Client's use, and the Freelancer will say so.

  1. 3. FEE AND PAYMENT

3.1 The Client shall pay the Freelancer a total fee of ₹40,000 (Rupees Forty Thousand only) for the work. Payment plan: Half in advance on signing and half on final delivery.

3.2 The Freelancer shall send an invoice for each payment, and the Client shall pay it within 15 days of receiving it.

3.3 The fee is stated before GST. If the Freelancer is registered for GST, GST at the rate in force is added and invoiced separately; if not, none is charged. Where the law requires the Client to deduct tax at source from the fee, the Client shall deduct it, pay the balance, and give the Freelancer the certificate for it. The rate and the threshold are those the law prescribes at the time of payment.

3.4 If the Client does not pay an invoice when due, the Freelancer may pause the work until it is paid, and the delivery date moves by the days lost. Any advance already paid is not refundable once the Freelancer has started work, except where the Freelancer ends the arrangement without cause.
