When you need it

A business in Punjab or Chandigarh hires a developer, a freelancer or a software company to build a website, a mobile app or a piece of custom software. The agreement says what is to be built, in what stages, how the client tests and accepts it, how it is paid for, who owns the code and the design, what the developer promises about quality and third-party material, and what happens when the client wants changes.

The usual quarrels are written into the paper in advance: a vague description of the product, endless changes at the same price, payment withheld because "it is not what I imagined", and a developer who keeps the source code after being paid. This agreement makes the client list the features, fixes a testing period after which the work counts as accepted, prices extra changes separately, and says clearly who gets the source code and when. Not for a monthly marketing retainer (use the Digital Marketing Agency Agreement). Not for ongoing hosting, support or repair of equipment (use the Annual Maintenance Contract). Not for a small design or writing job (use the Freelancer Agreement).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty depends on what the paper does and on the Schedule to the Indian Stamp Act, 1899 as applied in Punjab and in Chandigarh. An agreement of this kind is usually charged as an agreement not otherwise provided for, at a modest fixed figure, but the figure is not stated here: confirm it on the official e-stamping portal or with the Sub-Registrar before buying the stamp. If a clause makes the paper in substance something else (a transfer of property, a lease, a power of attorney, a guarantee), it is charged as that. An under-stamped paper cannot be used as evidence until the deficit and penalty are paid.

Registration

Not compulsorily registrable unless it creates or transfers a right in immovable property (section 17, Registration Act, 1908); this paper is not meant to. Registration is optional if the parties want it.

Notarisation

Not required by law, and not a substitute for stamping. A notary only records that the signatories appeared and signed, which makes it harder to deny a signature later. Carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties, each writing name, address and ID reference beside the signature, make a later denial harder.

WEBSITE OR SOFTWARE DEVELOPMENT AGREEMENT

This Agreement is made at Chandigarh on 2 April 2026.

BETWEEN

Sandhu Handicrafts Private Limited, of SCO 14, Sector 17-C, Chandigarh 160017, acting through Harleen Sandhu, Director (the "Client");

AND

ByteBridge Technologies LLP, of Plot 15, Rajiv Gandhi Chandigarh Technology Park, Chandigarh 160101, PAN AKJPI4432R, GSTIN 03AKJPI4432R1Z9, acting through Gurpreet Dhillon, Partner (the "Developer").

  1. 1. THE PROJECT

1.1 The Developer shall design, build and deliver a website for the Client with the following features and pages (the "Project"): Home, product catalogue with search, cart, online payment through the client's gateway, order tracking, admin panel to add products and view orders, contact form, mobile-friendly design.

1.2 The work starts on 1 April 2026 and the finished Project is to be delivered for testing by 2 April 2026. The Client shall give the Developer, on time, the text, images, logos, product data, accounts and decisions the Developer reasonably needs. A delay by the Client in doing so moves the delivery date by the same number of days.

1.3 The Developer shall build the Project with reasonable skill and care, to the features listed in clause 1.1, using current, supported tools, and shall keep the Client informed of progress.

  1. 2. TESTING AND ACCEPTANCE

2.1 The Client has 10 days from delivery to test the Project and tell the Developer in writing of any fault, meaning a feature in clause 1.1 that is missing or does not work as described. The Developer shall fix each fault the Client reports within a reasonable time, and the Client may then test the fix for a further period of the same length.

2.2 The Project is accepted when the Client confirms acceptance in writing, or when the testing period ends with no fault reported, or when the Client uses the Project live for its business. A change that the Client simply prefers, or a feature not listed in clause 1.1, is not a fault.

2.3 The Client may ask in writing for a change to the features. The Developer shall say what it will cost and how it moves the delivery date, and shall make the change only after the Client agrees in writing. Changes are charged at ₹1,200 (Rupees One Thousand Two Hundred only) per hour, before GST, unless a different price is agreed for that change.

  1. 3. PRICE AND PAYMENT

3.1 The total price is ₹1,80,000 (Rupees One Lakh Eighty Thousand only), before GST, paid as follows: 30% on signing, 40% when the work is delivered for testing, and 30% on acceptance. The Developer shall invoice at each stage and the Client shall pay within 7 days of the invoice.

3.2 GST is added at the rate in force if the Developer is registered. Where the law requires the Client to deduct tax at source, the Client shall deduct it and give the Developer the certificate for it. The price does not include third-party costs such as paid plug-ins, stock images, app-store fees, SMS or payment-gateway charges, which the Client pays or reimburses at actuals once told of them.
