When you need it

Use this when an operator provides an office that is already fitted out to one client: the operator fits it out, supplies furniture, internet, power backup and housekeeping, and runs it, while the client pays one monthly fee and simply moves in. It records the space, the term and lock-in, the fee and GST, the deposit, the service levels (availability and response times) and what happens when they are missed, and how either side can leave.

It is a services-and-licence agreement, not a lease. The Nature clause says so, and the Client gets no exclusive possession of the building. That is why it is not registered like a lease. The Provider should still have the right to offer the space, either as owner or under its own lease that allows it. Not for: a bare lease of an empty office (use a commercial lease deed); a hot-desk or membership arrangement with many users (a coworking arrangement); or a mail and address-only service (a virtual office agreement). Before signing, walk through the office together and list what is supplied, because the inclusions list is what the Client is paying for. Keep the signed copy with the Provider's tax invoices.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

This is an agreement for services with a licence to use the space, not a lease, so the stamp duty on a lease does not apply on its face. It is still a written agreement and may attract stamp duty as an agreement in Punjab or Chandigarh. Check the current figure with the Collector of Stamps or a licensed stamp vendor before signing, and have the paper bought before the Agreement is signed.

Registration

A services-and-licence agreement of this kind is not ordinarily registered. If the arrangement were changed so that the Client received exclusive possession of the space for more than a year, it could amount to a lease and would then need registration. Ask a lawyer before changing it that way.

Notarisation

Not required. A Party who wants extra comfort on the signatures may have them notarised.

Witnesses

Not required. Both parties sign and date the Agreement.
