When you need it

A letter in which a landlord offers a shop, showroom, office floor or similar space to a bank for a branch, an ATM or a back-office unit. Banks and their premises departments usually invite offers in writing, compare several, and then send a technical team to inspect before anything is signed.

This letter puts the landlord's offer in one place: the space, the rent, the increase, the deposit, the length of the term, the lock-in the landlord can give, when the space can be handed over, and what the landlord will make available. It is an offer and nothing more. It does not create a lease, and it does not oblige the bank to take the space or the landlord to hold it beyond the days stated in the letter. A bank will normally ask for title papers, the sanctioned building plan, the completion or occupation certificate where one was issued, and the property tax receipts before it goes further. The letter says the landlord will provide them on request; it does not attach them. Use it when you are the owner (or the person authorised by the owner) of premises in Punjab or Chandigarh and a bank has asked for offers, or you wish to approach a bank yourself. Not for: a lease that has been agreed in principle and only needs to be written up (use a commercial lease deed), a letter of intent that records a deal both sides have already settled, or an offer to sell the property.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

A letter that only makes an offer is not an agreement and does not need stamp paper in Punjab or Chandigarh. The lease that follows, if the bank accepts, will need stamping on the figures that apply to leases at that time. Check the current figure for that lease with the Sub-Registrar or a licensed stamp vendor; this letter does not state one.

Registration

Nothing in this letter needs registration. Whether the lease that follows needs to be registered depends on its term and rent, and the bank will usually insist on registration in any case. Ask the Sub-Registrar or a lawyer once the term is settled.

Notarisation

Not required. Notarising the landlord's signature is a choice and not a condition for the offer to be valid.

Witnesses

Not required. The date of the letter matters more than a witness, because the offer stays open only for the number of days stated from that date.
