When you need it

Use this when a building owner leases roof space to a solar company that will install, own and run a rooftop solar plant. It records the roof leased and the planned capacity, a long term, a yearly rent with an optional increase and rent-free period, who obtains which approvals, a structural check before installation, waterproofing and repair duties, access, protection from shading, insurance, the lender's rights, and removal at the end.

The Solar Company owns the plant, and the Lease keeps it from becoming part of the building. If the Owner is also to buy the power, that is a separate power purchase agreement, and the Lease says so. Not for: a short licence to use a roof for a few months; the power purchase agreement itself; or a hoarding or telecom tower on the roof (a different arrangement). Before signing, get the structural report, check any mortgage, head lease or allotment condition on the building, and agree the cable route. Because the term is long, the Lease is meant to be stamped and registered.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

A lease of a roof for a long term is a lease of immovable property and attracts stamp duty as a lease. The amount depends on the rent, any deposit or premium, and the term, and is set by the State of Punjab or the Chandigarh Administration. Check the current figure with the Sub-Registrar before signing, and buy the stamp paper in advance.

Registration

A lease for more than one year must be registered with the Sub-Registrar, and an unregistered lease for that term cannot be relied on in court as a lease. Register this Lease. Both parties, or their authorised signatories, and two witnesses should attend with identity proof.

Notarisation

Not required for validity. Registration is the formal step.

Witnesses

Two witnesses should sign. They are needed at registration.
