Why you need it

When you need it

A co-op society member is selling their flat — a registered deed between seller and buyer, society not a party — but the flat carries membership plus shares only the society can move. The buyer's bank needs this first: dues clear, no third-party claim, society will admit the buyer and endorse the share certificate. Must record: the member, share certificate/numbers, dues-clear date, transfer fee/premium. Premium is the trap. Maharashtra: fee Rs 500, premium capped Rs 25,000, nil for family/nominee/heir transfers — no resolution can raise the cap, and Bombay HC has struck down 'donation' workarounds. A society can't refuse without cause (ss.22-23, 1960 Act; appeal to Registrar) and must decide in 60 days or the applicant is deemed admitted (s.154B-4). It may insist arrears are cleared, not hold hostage to a parking dispute. Only for a REGISTERED co-op housing society with share capital — not an apartment association, company or Societies Registration Act body (common in Bengaluru/Chennai/Hyderabad, newer Mumbai/Pune), which needs a no-dues certificate plus transfer intimation instead. Not a title document.

Stamp duty

No stamp duty — a certificate about the society's own records creates no right/title/interest, outside the Stamp Act 1899, Maharashtra Stamp Act 1958, and state equivalents. Plain paper; some offices still demand Rs 100-500 stamp paper from habit — harmless waste. Two RELATED documents DO attract duty: the sale deed (ad valorem on the higher of consideration or ready-reckoner — Maharashtra ~5-7% with metro cess and a 1% woman's concession; Delhi 6%/4% plus 1% corporation duty; Karnataka 5% above Rs 45 lakh; Gujarat 4.9%; West Bengal 5-7% — check the state IGR portal) and the share-transfer form (Article 62, a few rupees).

Registration

Not registrable — don't take it to a Sub-Registrar; s.17, Registration Act, 1908 doesn't reach a certificate creating no interest in property. What IS registrable is the sale document: a sale deed (s.17(1)(b)), or a Maharashtra agreement for sale (s.4 MOFA + s.13 RERA, 2016) — presented within 4 months (s.23), extendable 4 more on a penalty up to 10x the fee (s.25). Fee is generally 1% of consideration (capped Rs 30,000 in Maharashtra; check elsewhere). Unregistered, it's inadmissible to prove the transfer (s.49) — this NOC doesn't cure that. Internally: transfer/membership applications, resolution and endorsed share certificate go into the register of members; Delhi also reports to the Registrar of Co-operative Societies; DDA-leasehold needs DDA's own separate conveyance.

Notarisation

Not required — weight comes from the letterhead, seal, two office-bearer signatures and the recited resolution, not a notary. Lenders sometimes separately want a notarised indemnity/affidavit from the seller — keep it separate. Delhi/NCR treats a notarised indemnity-cum-affidavit alongside the NOC as near-standard.

Witnesses

No witnesses — a sealed certificate, not an executed agreement. Instead, get three things right: recite the Managing Committee resolution's date/number; sign with at least two named office-bearers (Secretary and Chairman, not initials); affix the round common seal beside the signatures. Attach a certified resolution extract; follow your bye-laws if they name a different signatory.

1. The Society

Shreeji Heights Co-operative Housing Society Limited (the Society) is a co-operative housing society registered under the Maharashtra Co-operative Societies Act, 1960, the Rules made thereunder and the Model Bye-laws of Co-operative Housing Societies as adopted by the Society, bearing Registration No. MUM/WS/HSG/(TC)/9876/2003-04, with its registered office at Plot No. 42, Sector 9, Off Link Road, Andheri (West), Mumbai 400 053, Maharashtra. This certificate is issued by the Managing Committee of the Society in exercise of its powers under that Act and under the registered bye-laws of the Society, and in particular Bye-law No. 38, which governs the transfer of shares and interest of a member.

2. The Transferor

Rajesh Kumar Mehta and Sunita Rajesh Mehta (the Transferor, whether one person or more) is on the records of the Society as a member of the Society, bearing Membership No. M-084, holding Share Certificate No. SC/084 in respect of 5 fully paid-up shares of the Society, bearing distinctive Nos. 416 to 420 (both inclusive), and is in occupation of the flat described in the Schedule below (the Flat).

3. The Transferee

Ananya Prakash Deshpande and Prakash Vasant Deshpande (the Transferee, whether one person or more), residing at X.

4. The proposed transfer

The Transferor gave the Society written notice of the intention to transfer the Flat, together with the shares and interest in the Society, by a letter dated 3 April 2026, in accordance with the bye-laws of the Society. The Transferor proposes to transfer the Flat, together with the shares and the whole of the Transferor's interest in the capital and property of the Society attaching to the Flat, to the Transferee. The Transferor and the Transferee have executed an Agreement for Sale dated 2 April 2026, registered under Serial No. BDR-4/8842/2026 in the office of the Sub-Registrar of Assurances, Andheri No. 4, Mumbai Suburban District, recording a consideration of ₹25,000 (Rupees Twenty Five Thousand only), a copy of which has been produced to the Society and taken on record.

5. Authority for this certificate

The Managing Committee of the Society considered the matter at its meeting held on 4 April 2026 and passed Resolution No. 6 of MC Meeting No. 04/2026-27, resolving that this No Objection Certificate be issued. A certified extract of the resolution is enclosed.

6. Dues

The Society certifies that all amounts payable by the Transferor to the Society in respect of the Flat — including monthly maintenance charges, service charges, sinking fund, repair and maintenance fund, water charges, property tax collected by the Society, parking charges and every other levy of the Society — stand fully paid and cleared up to 5 April 2026. Nothing is outstanding against the Flat on the records of the Society as on the date of this certificate, save for a sum of ₹25,000 (Rupees Twenty Five Thousand only), and this certificate takes effect only upon that sum being paid to the Society.

7. Transfer charges

The following amounts have been levied and are recorded in the books of the Society in respect of this transfer:

(a) Transfer fee: ₹25,000 (Rupees Twenty Five Thousand only), payable under the bye-laws of the Society.
