When you need it

Use this when a farmer sells standing trees grown on his own farm as a crop, usually poplar or eucalyptus, to a buyer such as a timber merchant or a plywood or veneer unit who will fell them and carry them away. It records the trees and where they stand, the price (a lump sum for the lot, or a rate on the weight or number actually felled), the advance, who gets the felling permission or removal permit if the law needs one, the time allowed for felling, who bears the cost and risk of felling, and that the field must be left clear and safe.

The buyer gets the trees, not the land: he may enter the field only to fell and carry them within the time allowed. Not for: asking the authority for permission to fell (use the Tree Felling Permission Application); a sale of the land (use the Agreement to Sell Agricultural Land); a sale of the standing field crop (use the Standing Crop Sale Agreement).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

A sale of trees that are to be felled and removed is a sale of goods, so no conveyance duty is charged. A general agreement may attract a fixed duty under the residual agreement entry of the Punjab or Chandigarh schedule, and this drafter could not confirm one current figure, so none is stated. Ask on the official e-stamping portal or at the Sub-Registrar counter before signing, and keep the payment receipts.

Registration

Not compulsorily registrable: this agreement creates no interest in immovable property, so section 17 of the Registration Act, 1908 does not require it to be registered. The parties may still choose to register it for extra evidential weight.

Notarisation

Not required. Either party may have it notarised for extra comfort that the signatures are genuine; carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties are customary in village practice and are provided for below.

TREE SALE AGREEMENT

This agreement is made at Village Rurki, Tehsil Samrala on 1 April 2026.

BETWEEN

Nirmal Singh, of Village Bhatian, Tehsil Samrala, District Ludhiana, mobile 98140-00000 (the "Seller");

AND

Satnam Timber Traders, of Yamunanagar Road, Khanna, District Ludhiana, mobile 98140-00000 (the "Buyer").

  1. 1. THE TREES

1.1 The Seller sells and the Buyer buys the standing trees described as About 400 poplar trees, in rows on the east side and along the boundary, planted in 2020, being poplar, growing on the Seller's land at Village Rurki, Tehsil and District Samrala, Ludhiana, khewat / khatauni and khasra (killa) numbers: Khewat 27, Khatauni 44; Khasra 19//12, 19//13 (the "Trees").

1.2 The Seller states that the Trees are his own, that they are free of any pledge, loan or claim of another person, and that he has not promised them to anyone else.

  1. 2. PRICE AND PAYMENT

2.1 The price is ₹3,00,000 (Rupees Three Lakh only), fixed as a lump sum for all the trees described above, as they stand.

2.2 The Buyer has paid ₹50,000 (Rupees Fifty Thousand only) in advance today, and the Seller acknowledges it. It will be set off against the price.

2.3 The balance is payable as follows: Before felling begins, or in part before each truck leaves. The Seller shall give a receipt for every payment. No tree leaves the field until the amount then due has been paid.

  1. 3. PERMISSION

3.1 Where the law requires permission to fell the Trees or a permit to move the wood, the application for it shall be made by the Seller, as owner of the trees, and the Buyer shall not begin felling until it is granted.

3.2 Each party shall give the other the papers and information that the application reasonably needs. If the permission is refused, this agreement is cancelled and the Seller shall return the advance within fifteen days; neither party then owes the other anything more.

  1. 4. FELLING AND REMOVAL

4.1 The Buyer shall fell and remove the Trees at his own cost and risk, with his own labour, tools and vehicles, and shall finish and clear the field by 2 April 2026 (the "Last Date"). Any tree or wood left after the Last Date remains the Seller's, without any refund, unless the parties agree otherwise in writing.

4.2 The Buyer shall fell only the Trees sold, and shall take care not to hurt any person or animal or to damage the field crop, bunds, watercourses, tubewell, electric lines or neighbouring land. He is responsible for any such damage and for the safety of his labour.

4.3 After felling, the Buyer shall remove the wood, the branches and the stumps that stand in the way of ploughing, or fill the pits left, and leave the field fit for the next crop. Branches and leaves he does not take shall be heaped at the field edge. He shall not burn them.

4.4 The Seller keeps possession of the land throughout. This agreement gives the Buyer no lease, tenancy or other right in the land, and the Buyer shall not plant, build or store anything on it.
