When you need it

A supplier, contractor, service provider or employee in Punjab or Chandigarh is owed money by a company for goods, services or work (an operational debt) and wants to start the first step towards insolvency proceedings against that company. Under the Insolvency and Bankruptcy Code, 2016, an operational creditor must first send the company a written demand notice.

If the company does not pay or point to a real dispute within ten days of receiving it, the creditor may apply to the National Company Law Tribunal. This paper is the creditor's own covering demand notice, with the particulars of the debt set out as the prescribed form asks. The Code and its rules also prescribe a form for the demand notice (and a form for a demand made by invoice), so the prescribed form may have to be used or attached; this document does not copy that form. Check the current rules and the Tribunal's requirements before you rely on it. Use this only for a debt that is large enough and genuinely undisputed: the Code sets a minimum amount of default, and a real dispute that existed before the notice defeats the application. Starting insolvency proceedings to pressure a company on a disputed claim can bring a penalty. For a smaller or disputed debt, use the Legal Notice for Recovery of Money, the MSME Delayed-Payment Notice, or a suit. Not for a bank or a lender of money (a financial creditor does not send this notice).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

No stamp duty is payable on a notice or letter of this kind: it creates or transfers no right. The cost is only the postage or courier charge.

Registration

Not registrable: a notice or letter is not an instrument the Registration Act, 1908 requires to be registered.

Notarisation

Not required, but proof of delivery to the company’s registered office is essential, because the ten days run from receipt. Send it by registered post or speed post with acknowledgement, and also by email to the company’s official address, and keep every receipt and delivery record. Send it to the registered office as shown on the Registrar of Companies’ records.

Witnesses

No witness is needed; the sender signs alone.

DEMAND NOTICE FOR PAYMENT OF OPERATIONAL DEBT, UNDER THE INSOLVENCY AND BANKRUPTCY CODE, 2016

Dear Sirs,

  1. 1. We, Bhatia Packaging Industries, are an operational creditor of Rana Appliances Private Limited (the "Company"), because the Company owes us money for goods sold and delivered to the company. This is our demand notice under the Code, given in the manner the rules require.
  1. 2. The debt arises under the following: Purchase order no. RAP/PO/412 dated 3 March 2025 for 40,000 corrugated cartons for delivery in four lots.
  1. 3. The following amounts fell due and remain unpaid: Invoice BPI/25-26/118 dated 20 April 2025, Rs 62,40,000, due 20 May 2025. Invoice BPI/25-26/147 dated 28 June 2025, Rs 55,10,000, due 28 July 2025.
  1. 4. The total principal amount in default is ₹1,17,50,000 (Rupees One Crore Seventeen Lakh Fifty Thousand only). The default first occurred on 1 April 2026. Interest is also claimed: 18% a year as printed on each invoice, from the due date. A statement showing how the amount claimed is made up is in the Annexure.
  1. 5. We state that, to our knowledge, no dispute about this debt was raised by the Company before this notice, whether by a notice, a reply, a suit or arbitration proceeding, and that the Company has accepted the goods or services and the invoices without objection. If this is wrong, the Company must say so as the next paragraph requires.
  1. 6. We therefore demand that the Company pay us the principal amount of ₹1,17,50,000 (Rupees One Crore Seventeen Lakh Fifty Thousand only), together with the interest claimed, within ten days of receiving this notice, to this account: Punjab National Bank, Panchkula, A/c 0123456789012, IFSC PUNB0012300.
  1. 7. If, within the same ten days, the Company has a real dispute about the debt that existed before this notice, or has already paid, it must tell us in writing within that time, with the proof: the notice of any dispute, a suit or arbitration already begun, or the record of payment. Otherwise we shall apply to the National Company Law Tribunal to begin the corporate insolvency resolution process against the Company, and shall ask for all costs.
  1. 8. This notice is sent for the purpose stated in the Code. The form prescribed for a demand notice under the Code and its rules, with the particulars below, is filled and enclosed where the rules require it. This notice is without prejudice to all our other rights, which are reserved. A copy of the invoices, the proof of delivery and the statement of account are enclosed.
