When you need it

Use this when your business has supplied goods, work or services to another business, has raised invoices, and the customer has not paid them by the due dates. The notice lists each unpaid invoice, states the credit terms, claims interest from the due date of each, asks for payment within a fixed time, and requires the customer to say in writing which invoice it disputes and why.

Not the Recovery Notice (Money Due), which is the plain demand for a loan or other debt with no invoices. Not for unpaid rent — use the Legal Notice for Recovery of Arrears. Not for a dishonoured cheque, which has its own timetable — use the Cheque Dishonour Legal Notice. Not for an employee's pay. Read before sending: if your business is a registered micro or small enterprise, a special law gives you interest and a quicker route for late payment; say so in the interest choice. Check that every invoice and delivery proof you list is real and matches your records.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

No stamp duty in Punjab or Chandigarh — a notice that demands payment, performance or the stopping of an act creates, transfers or ends no right in property, and is not a chargeable instrument under the Indian Stamp Act, 1899. Plain paper or an advocate's letterhead is enough; no e-stamp exists for a document of this kind.

Registration

Not registrable in Punjab or Chandigarh — Section 17 of the Registration Act, 1908 reaches instruments that create or transfer an interest in property, not a one-sided demand. No Sub-Registrar takes a document of this kind.

Notarisation

Not required in Punjab or Chandigarh — notarising the notice adds nothing to its effect. What matters is proof that it reached the Recipient: the registered-post receipt and acknowledgement card, courier tracking, or a signed acknowledgement of hand delivery. Keep these with the file.

Witnesses

None required in Punjab or Chandigarh — this is a one-sided notice, not an instrument two parties sign. Witnesses matter only if the notice is delivered by hand (get the receiver's name, signature and date) or affixed because the Recipient cannot be found (two independent witnesses, a note of where and when, and photographs).

Dear Sir / Madam,

1. THE SUPPLY

1.1 The Sender supplied steel fabrication work and supply of fittings for the Recipient's Mohali warehouse between February and May 2026 to the Recipient at the Recipient's request, under purchase order no. PO/118 dated 20 January 2026.

1.2 The agreed time for payment was 30 days from the date of each invoice.

2. THE UNPAID INVOICES

2.1 The following invoices have been raised and remain unpaid after their due dates:

Invoice 214 dated 2 March 2026, due 1 April 2026: Rs 2,36,000
Invoice 231 dated 19 April 2026, due 19 May 2026: Rs 1,18,000

2.2 The total now due is ₹3,54,000 (Rupees Three Lakh Fifty Four Thousand only).

2.3 The Sender has already asked for payment: By email statements dated 5 June and 3 July 2026 and by calls on 12 and 25 July 2026.

2.4 The Recipient has received the goods or services and has not told the Sender of any defect, shortfall or dispute that would justify withholding payment, except as the Recipient may now show in writing.

3. INTEREST

3.1 The Sender claims interest at the rate agreed between the parties on each overdue invoice from its due date until payment.

4. THE DEMAND

4.1 The Sender calls upon the Recipient, within 15 days of receipt of this notice, to pay ₹3,54,000 (Rupees Three Lakh Fifty Four Thousand only), together with interest as claimed above, by bank transfer or account payee cheque.

4.2 If the Recipient disputes any invoice, the Recipient must say which, and why, in writing within the same time, and pay the undisputed part.

5. IF THE RECIPIENT DOES NOT PAY

5.1 If the Recipient does not pay, the Sender will file a suit for recovery of the amount with interest and costs, and, where the law applies, will first take the pre-institution steps it requires. The Sender may also take any other step open to the Sender, including stopping further supplies.

5.2 Nothing in this notice, and no part-payment accepted by the Sender, waives any right or remedy of the Sender.

6. SERVICE OF THIS NOTICE

6.1 This notice is served by registered post with acknowledgement due. A notice properly addressed, pre-paid and posted is presumed to have been served in the ordinary course of post (Section 27, General Clauses Act, 1897). Refusal to accept delivery will be treated as service.

This notice is issued through Simran Kaur, Advocate, of Chamber No. 88, District Courts, Sector 43, Chandigarh. A reply may be sent to the Advocate as well as to the Sender.
