When you need it

For the sale of one floor of a house built floor by floor, where the buyer pays an advance now and the sale deed is registered later. A builder floor is sold as the floor plus an undivided share of the land beneath the building, so the agreement must say what goes with it: the land share, who holds the roof rights, the common staircase and passage, and parking.

Possession passes only when the sale deed is registered. Not for a whole house or a flat in a society (use the Agreement to Sell), a floor handed over before the deed (use Agreement to Sell With Possession), or a floor still being built by a developer (use the Builder-Buyer Agreement for a Residential Flat).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp before signing, on paper or an e-stamp bought in the name of one of the parties. CHANDIGARH: the Administration's published table prices an agreement to sell at 5% of the token or earnest money, registration fee 1% (cap Rs 10,000) and a pasting fee of Rs 20; confirm at the Sub-Registrar's office, Sector 17. PUNJAB: the Revenue Department's table has no separate row for an agreement to sell, so ask the tehsil Sub-Registrar what the general agreement article comes to on your draft. Possession passes only at registration here, so the possession rule does not arise. An instrument that is not duly stamped cannot be used in evidence until the duty and a penalty are paid.

Registration

An agreement to sell under which possession is not given is not compulsorily registrable, but it can be registered, and a registered one shows on the index for any later buyer to find. The sale deed that follows must be registered.

Notarisation

Not required. Notarising it records the date and signatures but does not replace stamping or registration.

Witnesses

The law does not require witnesses for an agreement to sell, but take two: they help prove who signed and when.

AGREEMENT TO SELL A BUILDER FLOOR

Signed at Chandigarh on 1 April 2026.

BETWEEN

Harpreet Singh, Son of Sh. Gurdev Singh, of House 12, Sector 35-A, Chandigarh, PAN ABCDE1234F, together with X (the "Seller")

AND

Aarav Sharma, Son of Sh. Gurdev Singh, of House 12, Sector 35-A, Chandigarh, PAN ABCDE1234F, together with X (the "Buyer")

Where more than one person is named as Seller or as Buyer, each of them is bound by this agreement jointly and separately, and each must sign it.

  1. 1. THE FLOOR AND THE LAND SHARE

The Seller agrees to sell and the Buyer agrees to buy Second floor, covered area about 1,100 sq. ft. of the building standing on the plot at House 1234, Sector 20-C, Chandigarh, measuring 250 square yards, together with One-third undivided share in the plot in the land under the building (the "Floor").

Roof rights: The roof rights above this floor are sold to the Buyer with the floor. Wherever roof rights pass to the Buyer, they are the right to use the roof and to build on it only as far as the sanctioned plan and the law allow. The Buyer gets no roof right that this agreement does not give in words.

Common areas: with the owners of the other floors, the Buyer may use Main gate, entrance, staircase, passage, water tank and meter room. The Buyer will not block, close or build over any of them, and will bear a fair share of the cost of keeping them in repair.

Parking: Covered parking bay no. 2 in the stilt goes with the Floor.

  1. 2. TITLE

The Seller states that the Seller owns the Floor through Registered sale deed dated 12 June 2015, Sub-Registrar, Chandigarh, that the Seller alone is entitled to sell it, and that it is free from any other sale, gift, lease, court case, attachment or claim, except as written in this agreement.

Loan or mortgage: No loan or mortgage is outstanding on the plot or the floor.

Building plan and occupation papers: Plan sanctioned 4 March 2012; occupation certificate 9 May 2014. The Seller will show the Buyer these papers before registration.

  1. 3. PRICE AND PAYMENT

The total price for the Floor is ₹95,00,000 (Rupees Ninety Five Lakh only). The Buyer has paid ₹9,50,000 (Rupees Nine Lakh Fifty Thousand only) today as advance, by Bank transfer, UTR 123456789012, 15 October 2026, and the Seller acknowledges receiving it. The balance of ₹85,50,000 (Rupees Eighty Five Lakh Fifty Thousand only) is payable at the time the sale deed is registered.

Every payment will be made by bank transfer, cheque or demand draft, so that it can be traced, and not in cash.

Where the law requires the Buyer to deduct tax at source from the price, the Buyer will deduct it, deposit it within the time allowed and give the Seller the certificate. The tax so deposited counts as payment of that much of the price, and the Seller will give the PAN needed for it.
