When you need it

Use this when a building owner wants an operator to set up and run a coworking or flexible-workspace centre in part of the building, and is paid out of the centre's earnings rather than a plain rent. It records the space and the Operator's brand, the fit-out period, the term and lock-in, how the Operator pays (a fixed minimum guarantee, a share of net revenue, or whichever is higher), how revenue is reported and checked, who pays for what, insurance, and what happens to the fit-out at the end.

The Operator runs the centre and owns the member relationships. The Owner stays responsible for the building itself. The money clause is the one to think about most: define Net Revenue carefully and keep the statement and inspection rights, because the Owner depends on the Operator's reports. Not for: a plain lease of premises to a business that will use them itself (a commercial lease deed); a single client's serviced office (a managed office agreement); or a licence for an individual desk (a membership form). Before signing, agree the fit-out scope, the Net Revenue definition and the guarantee figure in writing. If the Operator is to have the space exclusively for more than a year, take advice on stamping and registration, because the arrangement may be a lease.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

Stamp duty depends on what the arrangement really is. If the Operator gets exclusive possession of the Space for a term, it can amount to a lease, which attracts stamp duty on the rent or guarantee and the term. If it is only a management and licence arrangement, it is chargeable as an agreement. The rate and the way it is worked out are set by the State of Punjab or the Chandigarh Administration, so check the current figure with the Sub-Registrar or Collector of Stamps before signing, and buy the stamp paper before the Agreement is signed.

Registration

A lease of immovable property for more than one year must be registered. If the Operator is to have exclusive possession for a term over a year, register this Agreement with the Sub-Registrar; two witnesses are signed in for that reason. If it is structured as a management and licence arrangement without exclusive possession, registration is not ordinarily required. The Nature clause tells the Parties to do whichever the law needs.

Notarisation

Not required for validity. Where the Agreement is registered, the registration is the formal step.

Witnesses

Two witnesses should sign. They are needed if the Agreement is registered as a lease, and help the evidence either way.

COWORKING OPERATOR AND LANDLORD MANAGEMENT AGREEMENT

This Coworking Operator and Landlord Management Agreement (this "Agreement") is made at Chandigarh on 2 April 2026.

BETWEEN

Chadha Commercial Complex Private Limited, an individual, of SCO 11, Sector 8-C, Chandigarh 160009, acting through Ravneet Chadha (the "Owner")

AND

WorkNest Coworking LLP, an individual, of SCO 11, Sector 8-C, Chandigarh 160009, acting through Ravneet Chadha (the "Operator")

The Owner and the Operator are each a "Party" and together the "Parties".

RECITALS

A. The Owner owns, or is entitled to deal with, the building and Space described below.

B. The Operator runs coworking and flexible-workspace centres, and wishes to set up and run one in the Space.

C. The Owner has agreed to let the Operator do so, and the Operator to pay the Owner out of the Centre's earnings, on the terms of this Agreement.

NOW THIS AGREEMENT WITNESSES as follows.

  1. 1. THE SPACE AND THE OPERATOR'S ROLE

1.1 From 1 April 2026 the Owner gives the Operator the right to occupy and run the second and third floors of SCO 11, Sector 8-C, Chandigarh, with the shared terrace and four reserved parking bays, of about 12,000 square feet, at Chandigarh, in the State of Punjab (the "Space"), as a coworking and flexible-workspace centre under the name WorkNest (the "Centre").

1.2 The Operator alone runs the Centre: it shall sign up members, set and collect their charges, hire and manage its own staff, and provide the services members expect. The members are the Operator's customers, not the Owner's, and the Owner is not responsible for the Operator's staff, members or contracts.

1.3 The Operator shall use the Space only as a coworking centre and for uses that go with it, and shall not use it for any unlawful, hazardous or nuisance activity.

1.4 The Owner confirms that it owns the Space or has the right to give it to the Operator on these terms, that the building has the approvals needed for office use, and that nothing in any lease, loan or allotment condition stops this arrangement.

  1. 2. TERM, FIT-OUT AND LOCK-IN

2.1 This Agreement runs for 60 months from 1 April 2026, unless ended earlier under this Agreement.

2.2 The Operator has 90 days from 1 April 2026 to fit out the Space and open the Centre. No guarantee or revenue share is payable during that period.

2.3 The Operator shall carry out this fit-out at its own cost: partitions, workstations, meeting rooms, a pantry, a reception, air-conditioning changes and branding. Before any structural change, or any change to electrical, plumbing or fire systems, the Operator shall get the Owner's written approval, which the Owner shall not unreasonably withhold, and shall obtain every municipal or other permission needed.

2.4 For the first 36 months from 1 April 2026 (the "Lock-in") neither Party may end this Agreement for convenience. If the Operator leaves earlier, it remains liable for the minimum guarantee, or the revenue share it would have paid, for the rest of the Lock-in.
