When you need it

Use this when a grower in Himachal Pradesh agrees to sell the apple crop of a season to a buyer, a trader, a commission agent or a company, whether the buyer picks the standing crop or the grower picks and delivers it. It records the orchard, the variety and expected quantity, the price, the advance, how the fruit is picked, graded and packed, when the balance is paid, and who bears the loss if the crop is damaged.

A written agreement avoids the usual disputes over grade, weight and the balance payment after the season. Not for: leasing the orchard itself for a term of years (use the Himachal Apple Orchard Lease); fruit other than apples; a sale through the mandi auction, where the market's own rules decide the terms.

What follows is written for Himachal Pradesh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

An agreement for the sale of goods is stamped under the Himachal Pradesh stamp rules; the duty on this kind of agreement could not be confirmed here, so ask the Sub-Registrar's office or the e-stamp vendor before signing.

Registration

Not required. A sale of a crop is a sale of goods, and this agreement does not transfer any interest in the land.

Notarisation

Not required. Notarising it is an optional extra.

Witnesses

Two witnesses.

APPLE CROP SALE AGREEMENT

This agreement is made at Shimla, Himachal Pradesh, on 1 April 2026.

BETWEEN

Rattan Lal Chauhan, of Village Kotkhai, Tehsil Kotkhai, District Shimla, Himachal Pradesh 171202 (the "Grower");

AND

Himalayan Fruit Traders, of Shop 12, Fruit Mandi, Parwanoo, Himachal Pradesh 173220 (the "Buyer").

1. The crop sold

1.1 The Grower sells and the Buyer buys the 2026 season's crop of Royal Delicious and Red Gold apples grown in the Grower's orchard at Village Kotkhai, Tehsil Kotkhai, District Shimla, Khasra Nos. 118 and 119 (the "Crop"). The Grower expects about 600 boxes of 20 kg, but the quantity is an estimate and the Buyer pays for what is actually picked and weighed.

1.2 The Grower owns or lawfully holds the orchard, is entitled to sell the Crop, and has not sold or pledged it to anyone else.

2. Picking, grading and packing

2.1 The Buyer picks, grades and packs the fruit from the trees with the Buyer's own workers. The fruit is picked between 20 August and 30 October 2026, as the fruit matures, when it is ripe enough, and is handed over at the roadhead nearest the orchard, or the Buyer's godown at Parwanoo.

2.2 The fruit is graded by size and quality into the grades named in clause 3.1. Each lot is weighed at the place of handover in the presence of both sides or their agents, and a written weighment slip signed by both is the record of that lot.

2.3 The Buyer and the Buyer's workers do not damage the trees, the terraces, the paths or the Grower's other crops, and make good any damage they cause.

3. Price and payment

3.1 The Buyer pays for the Crop at these rates, by grade:

Extra Large Rs 95 a kg; Large Rs 80 a kg; Medium Rs 60 a kg; Small and under-grade Rs 30 a kg

3.2 The Buyer has paid the Grower ₹2,00,000 (Rupees Two Lakh only) as an advance today. The Grower acknowledges it, and it is adjusted against the price of the first lots.

3.3 The Buyer pays the balance for each lot within 15 days of that lot being weighed, by bank transfer or cheque, with a statement of the weight, the grade and the rate for the lot.

3.4 Any market fee, commission or levy that the law makes payable on the sale is paid by the person the law makes liable for it, and is not deducted from the Grower unless the law says so.

4. Risk

4.1 The Grower bears the loss until the fruit is picked and weighed; the Buyer pays only for fruit actually picked and weighed.

4.2 If the Buyer does not take the fruit within the period in clause 2.1, the Grower may sell the remaining fruit to anyone else, and the Buyer pays any shortfall against the price agreed.

5. Disputes

5.1 A dispute about grade, weight or payment is first settled by talking, with the signed weighment slips as the record. If it is not settled, either side may go to the courts or the authority that has jurisdiction over the district in which the orchard lies.
