When you need it

Use this when you signed an agreement to buy a property, paid part of the price, and the seller now refuses or delays signing and registering the sale deed. The notice records that you are ready and willing to pay the balance, fixes a date and an office for the sale deed, and warns the seller against selling to anyone else.

It is the usual step before a civil suit asking the court to make the seller complete the sale. Not for getting your money back without completing the sale — use the Legal Notice to Return Bayana (Earnest Money). Not for a seller forfeiting what a buyer paid — see the Notice of Forfeiture of Earnest Money. Not for a builder's delay in handing over a flat — use the Legal Notice for Possession Delay. Read before sending: a suit for specific performance depends on you having stayed ready and willing throughout, and it has a time limit that runs from the date fixed for the sale deed. Do not wait on the notice.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

No stamp duty in Punjab or Chandigarh — a notice that demands payment, performance or the stopping of an act creates, transfers or ends no right in property, and is not a chargeable instrument under the Indian Stamp Act, 1899. Plain paper or an advocate's letterhead is enough; no e-stamp exists for a document of this kind.

Registration

Not registrable in Punjab or Chandigarh — Section 17 of the Registration Act, 1908 reaches instruments that create or transfer an interest in property, not a one-sided demand. No Sub-Registrar takes a document of this kind.

Notarisation

Not required in Punjab or Chandigarh — notarising the notice adds nothing to its effect. What matters is proof that it reached the Recipient: the registered-post receipt and acknowledgement card, courier tracking, or a signed acknowledgement of hand delivery. Keep these with the file.

Witnesses

None required in Punjab or Chandigarh — this is a one-sided notice, not an instrument two parties sign. Witnesses matter only if the notice is delivered by hand (get the receiver's name, signature and date) or affixed because the Recipient cannot be found (two independent witnesses, a note of where and when, and photographs).

SUBJECT: Notice to execute the sale deed of House No. 1234, Sector 21-C, Chandigarh, measuring 10 marla under the agreement dated 1 April 2026

Dear Sir / Madam,

1. THE AGREEMENT

1.1 By an agreement dated 1 April 2026 (the Agreement), the Recipient agreed to sell, and the Sender agreed to buy, House No. 1234, Sector 21-C, Chandigarh, measuring 10 marla (the Property) for a total price of ₹85,00,000 (Rupees Eighty Five Lakh only).

1.2 The Sender has paid ₹8,50,000 (Rupees Eight Lakh Fifty Thousand only) to the Recipient towards the price. The balance of ₹76,50,000 (Rupees Seventy Six Lakh Fifty Thousand only) is payable when the sale deed is executed and registered.

1.3 The Agreement fixed 2 April 2026 as the date by which the sale deed was to be executed and registered.

2. THE SENDER'S READINESS AND WILLINGNESS

2.1 The Sender has always been, and remains, ready and willing to perform every term of the Agreement that falls on the Sender, including paying the balance price. The Sender holds the balance in a bank account and a home loan sanction letter, and wrote to the Recipient on 12 June 2026 asking for a date for the registry.

3. THE RECIPIENT'S DEFAULT

3.1 Despite repeated requests since 1 June 2026, the Recipient has not fixed a date for the sale deed and on 20 July 2026 said the price has gone up.

3.2 The Recipient's conduct is a breach of the Agreement.

4. THE DEMAND

4.1 The Sender calls upon the Recipient to attend the office of the Sub-Registrar, Sector 17, Chandigarh on 3 April 2026, and there to execute and get registered the sale deed of the Property in favour of the Sender, or of whomever the Sender nominates, against payment of the balance of ₹76,50,000 (Rupees Seventy Six Lakh Fifty Thousand only), and to hand over possession of the Property with its original title documents as the Agreement provides.

4.2 The Sender will attend on that date and at that office with the balance ready. The Recipient is asked to confirm in writing, before that date, that the Recipient will attend.

5. IF THE RECIPIENT DOES NOT COMPLY

5.1 If the Recipient does not perform, the Sender will file a civil suit for specific performance of the Agreement and for possession of the Property, with costs. Without giving up that claim, the Sender will ask in the alternative for refund of the ₹8,50,000 (Rupees Eight Lakh Fifty Thousand only) paid, with interest, and for damages, as the Sender is advised.
