When you need it

You and at least six other people in Punjab or Chandigarh want to form a society — a Resident Welfare Association, a charitable, literary, scientific, cultural, sports or educational body, or any other purpose s.20 of the Societies Registration Act, 1860 covers — and register it so it becomes a body corporate able to hold property, open a bank account, and sue or be sued in its own name, rather than remaining a loose, unincorporated group of individuals. s.1 of that Act needs at least seven persons to subscribe to a Memorandum of Association stating the society's name, objects, and the names, addresses and occupations of the first governing body. s.2 requires the Memorandum to be filed with the Registrar together with a copy of the Rules and Regulations for the society's management, certified by three or more of the governing body members. This document produces both, plus the covering application and the verification affidavit the Registrar's office expects, as one package. Until registration is granted, the group has no separate legal existence — a bank will not open an account in the proposed name, and nobody can sue or be sued as the society. Registration under this Act is what creates that separate existence; this document is the application for it, not the certificate itself, which the Registrar issues. Stamp duty

No ad valorem stamp duty is charged on registering a society under the Societies Registration Act, 1860 itself — the Act does not tax the Memorandum or the Rules the way the Indian Stamp Act, 1899 taxes a conveyance or a lease. What commonly does need a small value of non-judicial or affidavit stamp paper is the verification affidavit accompanying the application, sworn before an Oath Commissioner or Notary in Punjab or Chandigarh — confirm the current affidavit stamp value at the point of swearing, since this figure is revised from time to time and is not printed here.

Registration

This is the application for registration, filed with the Registrar of Societies — in Punjab, the Registrar of Firms and Societies for the district in which the registered office is situated; in the Union Territory of Chandigarh, the Registrar of Societies, Chandigarh. File the Memorandum of Association and the Rules and Regulations, each certified by three or more members of the governing body, in the number of copies the Registrar's office currently asks for (commonly duplicate, one to be returned certified), together with the registration fee, identity and address proof of the subscribers, and the no-objection for the registered office premises. s.3A requires an annual filing, within fourteen days of the AGM at which office-bearers are elected or appointed, of a list of the persons then constituting the governing body; a society that lets this lapse for successive years risks being treated as defunct. Under s.12 and s.12A, changing the society's name or objects needs a special resolution of the General Body passed by the majority those sections require, followed by the Registrar's approval.

Notarisation

The verification affidavit accompanying the application must be sworn before an Oath Commissioner or Notary Public. Registrar's offices commonly also expect each subscriber's signature on the Memorandum to be attested — by a Notary, a Gazetted Officer, a practising Advocate or a Chartered Accountant, depending on the office's current practice — rather than merely witnessed informally; confirm which the specific Registrar's office currently accepts before the subscribers sign.

Witnesses

In addition to the attestation of subscribers' signatures described above, ordinary practice is for the person verifying the affidavit to sign it before the Oath Commissioner or Notary directly, without separate lay witnesses. Where the office nonetheless asks for witnesses to any signature, two adults not themselves subscribers are enough.

3.1 The objects of the Society fall within charitable purposes, within the meaning of s.20 of the Societies Registration Act, 1860.

3.2 The objects of the Society, in detail, are: To manage and maintain the common areas, security, horticulture and amenities of Sunrise Enclave, Sector 115, S.A.S. Nagar (Mohali); to collect and apply maintenance contributions from residents for that purpose; to represent residents before local authorities and utility providers; and to do all things incidental to the welfare of residents of the colony..

4.1 The names, addresses and occupations of the members of the first governing body of the Society, to whom, by the Rules and Regulations, the management of its affairs is entrusted, are:
