When you need it

You own a used car and want a dealer to find a buyer for it, while it stands in the dealer's yard or showroom. The Owner sets a minimum price, the Dealer shows the car, finds a buyer and earns an agreed commission when the sale is made.

This Agreement records the minimum price, the commission, how long the car stays, who keeps the RC, how the buyer's money reaches the Owner, and who is responsible if the car is damaged, kept too long or used by the Dealer. The Dealer is the Owner's agent in showing and selling the car; it is not buying the car. The Owner stays the registered owner, and the car is transferred on the RC straight to the buyer when sold. If the Dealer wants to buy the car itself, use the Car / Bike Sale Agreement instead. Not for a car with a running loan (use Loan Takeover Agreement for a Financed Vehicle, and get the financer's no-objection first). Not for a sale between two private persons (use Car / Bike Sale Agreement).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

This is an agency and commission agreement; it does not sell the car or transfer any interest in it. The stamp on it, if any, is the fixed amount for an agreement; no figure is stated here because Punjab and Chandigarh revise theirs from time to time. Check the current amount on the official e-stamping portal before you buy the paper.

Registration

Not registrable under the Registration Act, 1908: it concerns a movable vehicle, not land or buildings. Any change to the vehicle’s registration record is made separately, at the Registering Authority.

Notarisation

Not required by law. A notary only records that the signatories appeared and signed, which makes it harder to deny a signature later. Carry original photo ID.

Witnesses

Two witnesses are sensible, each writing full name, address and ID reference beside the signature. A witness is an adult who is not a party to the document.

PARK-AND-SELL AGREEMENT WITH A CAR DEALER

This Agreement is made at Chandigarh on 2 April 2026 between:

Anil Kumar Sharma, of House No. 66, Sector 38, Chandigarh (the "Owner"); and

Tricity Pre-Owned Cars, of Showroom 8, Industrial Area Phase 2, Chandigarh (the "Dealer"), whose business registration or trade certificate is: GST registration and trade certificate as shown to the Owner.

  1. 1. THE CAR AND THE APPOINTMENT

1.1 The Owner is the registered owner of the car Maruti Suzuki Swift VXi, white, registration number PB10 AB 1234, chassis number MA3EWDE1S00123456, engine number K12MN1234567, odometer reading 48,200 km when handed over (the "Car").

1.2 The Owner leaves the Car with the Dealer from 1 April 2026 to 2 April 2026 (the "Period"), and appoints the Dealer to show the Car and find a buyer for it. The Dealer acts as the Owner’s agent only. The Dealer does not buy the Car, and the Car stays the Owner’s property until it is sold to a buyer and the price is paid.

1.3 The Owner states that the Car has no loan or hypothecation, is not pledged or attached, and has no tax or challan due, except as the Owner has told the Dealer in writing.

  1. 2. PRICE AND SALE

2.1 The lowest price the Owner will accept for the Car is ₹6,20,000 (Rupees Six Lakh Twenty Thousand only) (the "Minimum Price"). The Dealer shall not agree a sale below the Minimum Price without the Owner’s written approval.

2.2 The Dealer shall tell the Owner of every serious offer. No sale is final until the Owner has approved the buyer and the price, and the buyer has signed a sale agreement with the Owner. The sale of the Car is made by the Owner to the buyer, and the Dealer shall not describe the Car to a buyer as better than the Owner has described it to the Dealer.

2.3 On a sale, the transfer of the Car on the RC shall be made directly from the Owner to the buyer, on the forms the Rules prescribe, and each side shall sign what is asked of it. The Dealer shall help with the paperwork but shall not have the RC transferred to its own name or to anyone else without the Owner’s written consent.

  1. 3. COMMISSION AND PAYMENT

3.1 If the Car is sold within the Period to a buyer the Dealer found, the Owner shall pay the Dealer a commission worked out as a fixed amount, being Rs 25,000, once the Owner has received the full sale price. No commission is due if the Car is not sold in the Period, or if the sale fails for a reason that is not the Owner’s fault. The Dealer is entitled to no other fee, rent or parking charge, unless the Parties agree it in writing.

3.2 The buyer’s money shall be paid directly into the Owner’s bank account, and the Dealer shall not accept the sale price. The Dealer shall not keep any part of the sale price except the commission due under clause 3.1.

3.3 Any GST, TDS or other tax on the commission or the sale shall be paid or deducted by the party the law makes responsible.
