Not registrable. Section 17 of the Registration Act, 1908 reaches instruments creating or transferring an interest in immovable property, or specific instruments such as leases — a contract of employment is neither, in Punjab or in Chandigarh.

EMPLOYMENT AGREEMENT

This Employment Agreement (this "Agreement") is made at S.A.S. Nagar (Mohali) on 1 April 2026.

BETWEEN

Northline Analytics Private Limited, a company incorporated under the Companies Act, 2013, of Plot No. 8, Phase 8-B, Industrial Area, S.A.S. Nagar (Mohali) 160055, acting through Rohit Nair, Director, authorised by board resolution dated 4 March 2026 (the "Company");

AND

Simran Kaur Dhillon, son/daughter/wife of Gurdeep Singh Dhillon, of House No. 214, Sector 15-A, Chandigarh 160015, PAN AFRPB2211J (the "Employee").

The Company and the Employee are each a "Party" and together the "Parties".

RECITALS

A. The Company wishes to employ the Employee, and the Employee wishes to be employed by the Company, on the terms of this Agreement.

B. This Agreement records the complete terms of that employment and supersedes any earlier offer, letter or discussion between the Parties to the extent they conflict with it.

NOW THIS AGREEMENT WITNESSES AS FOLLOWS.

  1. DESIGNATION. The Company employs the Employee as Head of Engineering, reporting to Chief Executive Officer, and the Employee accepts that employment.
  1. WORK LOCATION. The Employee's place of work will be Unit 305, Third Floor, Tower B, Bestech Business Tower, Sector 66, S.A.S. Nagar (Mohali), subject to the Company's right to reassign that location in the ordinary course of its business, on reasonable notice to the Employee.
  1. NATURE AND TERM OF ENGAGEMENT. The Employee is engaged as a full-time, permanent employee of the Company. The employment is subject to a probationary period of 3 months from 2 April 2026, and the Company will confirm the Employee's employment in writing on satisfactory completion of probation.
  1. COMMENCEMENT. This Agreement and the Employee's employment under it commence on 2 April 2026.
  1. COMPENSATION. The Employee's annual cost to the Company (CTC) is ₹24,00,000 (Rupees Twenty Four Lakh only), made up as follows: Basic Rs 10,00,000; HRA Rs 5,00,000; special allowance Rs 6,00,000; retiral benefits Rs 3,00,000. Salary is paid by the 7th day of the following calendar month, by bank transfer, after deduction of tax at source under s.192 of the Income-tax Act, 1961 and of the statutory contributions clause 8 describes.

This Agreement states in terms that it does not stop the employee taking up competing employment or business once it ends. That is not an oversight: section 27 of the Indian Contract Act, 1872 voids a restraint of trade outside narrow exceptions that do not reach an ordinary employment relationship, and Indian courts have consistently refused to enforce a post-employment non-compete on that basis. What protects the Company instead is the confidentiality obligation, which continues after employment ends, and a narrower, time-bound restraint on the employee soliciting the Company's own staff and clients.

Common mistakes

  • Assuming the non-solicitation restraint can be widened into a general non-compete by drafting it more forcefully — the underlying legal barrier under section 27 of the Indian Contract Act, 1872 does not move just because the clause is worded more strongly.
  • Treating the notice period as final without checking it against the Punjab Shops and Commercial Establishments Act, 1958 (as extended to Chandigarh) — a contractual notice period shorter than the statute allows is void to that extent.
  • Not checking whether the employee is likely to be a "workman" under the Industrial Disputes Act, 1947 before relying on the notice clause alone — that status brings its own requirements regardless of what the contract says.

No, and it does not attempt to.
