When you need it

Use this when a company funds a project of your trust or society in Punjab or Chandigarh out of its corporate social responsibility (CSR) spending, and the two sides want the terms in writing: the project, the money and when it is paid, what it may be spent on, the reports and proof the company will want, what happens to unspent money, and how the company is named. The company has its own duties under the Companies Act, 2013 and the CSR rules made under it, including that the project falls within the activities the law allows and that the NGO that carries it out is eligible to do so.

The NGO should hold whatever registration those rules require and give the company proof of it. Check the current rules and the company's CSR policy before signing; this template does not restate them. Not for an ordinary gift from an individual or a firm — use the Donation Receipt and Donor Declaration. Not for a business-to-business MoU — use the General Business MoU. Not for an agreement under which the company buys goods or services from the NGO; CSR funding is not a payment for anything in return.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

An MoU of this kind may be chargeable under the Indian Stamp Act, 1899 as it applies in Punjab and in Chandigarh, depending on how it is worded and what it contains. The article and amount are not stated here: ask the e-stamp vendor or the Sub-Registrar before buying paper, and ask whether the MoU, as an agreement to fund and not a transfer of property, needs paper of a higher value.

Registration

Not registrable and not required to be registered, since it transfers no interest in immovable property.

Notarisation

Not required by law. The company may ask for a notarised copy as part of its own records.

Witnesses

Not required. An authorised person of each side signs, with the post stated.

MEMORANDUM OF UNDERSTANDING FOR A CSR-FUNDED PROJECT

Date: 2 April 2026

This MoU is between Example Industries Limited, a company with its registered office at Industrial Area, Mohali (the Company), and Sri Guru Nanak Seva Trust, Sector 22, Chandigarh, constituted by Trust deed dated 5 March 2018 (the NGO).

PURPOSE

The Company wishes to fund, out of its corporate social responsibility spending under the Companies Act, 2013 and the rules made under it, a project carried out by the NGO as its implementing agency. This MoU records the terms. The Company is not buying goods or services from the NGO, and the funding is not paid in return for any benefit to the Company, its directors or its employees.

THE PROJECT

The project is Evening Learning Centres: Run three free evening learning centres for children from low-income families in Mohali.. It is carried out at Mohali district from 1 April 2026 to 2 April 2026 (the Project).

NGO'S STANDING

The NGO confirms that its registration reference under the CSR rules is As printed on the certificate, that it is a trust or registered society whose objects cover the Project, and that it will give the Company proof of its registrations and keep them in force for the life of the Project. If a registration lapses or is withdrawn, the NGO tells the Company at once.

FUNDING

The Company will give the NGO ₹5,00,000 (Rupees Five Lakh only) for the Project, paid in one payment after this MoU is signed. The money is paid into the NGO's account in the NGO's own name: A named bank, Sector 17 Chandigarh, account ending 1234.

USE OF THE MONEY

The NGO uses the money only for the Project and keeps it, and its records of it, separate from other money. Any share of the money used for the NGO's own running costs is limited to what the Company agrees in writing and the CSR rules allow. No part is paid to any director, trustee, member or employee of the Company or the NGO, or to a relative of any of them, except as pay or fees for work they actually do and that is agreed in writing in advance.

REPORTS AND ACCESS

The NGO gives the Company a written report on progress and spending every quarter, and at the end of the Project a final report with an account of how the money was spent, certified by the NGO's accountant or auditor, together with whatever statement of use of funds the Company needs for its own CSR reporting. The Company may visit the Project and examine the NGO's records of it at reasonable times after notice.

UNSPENT MONEY AND CHANGES

Money left unspent at the end of the Project, or money that cannot be spent for the Project, is dealt with as follows: it is returned to the company within the time the company asks. Any change to the Project, its place, its dates or the way the money is used needs the Company's written consent in advance.
