When you need it

Use this to write the constitution of a new NGO that will be a registered society in Punjab or Chandigarh — a charitable, educational, social-service, cultural or similar body run by its members and an elected committee. It holds the Memorandum (name, objects, first governing body) and the Rules (members, meetings, money, changing the rules, winding up), including the clauses an NGO needs: no profit to members, assets going to another charity on closure, and the intention about income-tax and foreign-contribution registration.

At least seven people sign the Memorandum as founders. Unlike a trust, the society has members and a general body, and can hold property and sue in its own name once registered. Not for the covering application to the Registrar and the verification affidavit — those are in the Society Registration Application in this library, which also produces a Memorandum and Rules for a residents' welfare association or similar body; use that one if you want the whole filing package in one go. Not for a housing society's day-to-day paperwork (membership, share certificates, meetings of a housing society), which the library's other society documents cover.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

The Memorandum and Rules filed for registration are not charged ad valorem duty as a conveyance or lease would be. Any affidavit that goes with the filing needs the stamp paper the Registrar's office or the notary asks for; check the current requirement at the counter before buying paper.

Registration

The society comes into existence by registration with the Registrar of Societies: in Punjab the office for the district of the registered office, in Chandigarh the Registrar of Societies, Chandigarh. The Memorandum and Rules are filed with the number of copies and the signatures the office asks for. Registration of the society is separate from income-tax registration and foreign-contribution registration, which come later and from other authorities.

Notarisation

Not required for the Memorandum and Rules as such. The registering office may ask for the founders' signatures to be attested and for an affidavit to be sworn; follow what it currently asks.

Witnesses

Every founder signs the Memorandum. Follow the registering office on whether signatures are to be witnessed or attested.
