When you need it

Use this when two people go into the dairy business together, for example one who has the shed and the land and one who brings the cattle or the money, and want it in writing. It records the name and place of the dairy, what each partner puts in (cattle, shed, equipment, cash, labour), how the profit and loss are shared, who runs the day-to-day work, where the milk is sold, the bank account, what each may draw, how the accounts are kept and shown, and what happens when a partner wants to leave.

The dairy's land stays with its owner. The firm is given only the use of it for the dairy; no lease or tenancy is created. Not for: a general business partnership that is not a dairy (use the Partnership Deed); a partnership with more than two partners or one that holds land as capital without more drafting (a lawyer should settle it); ending a partnership (use the Partnership Dissolution Deed); a one-time sale of cattle (use the Cattle Sale Receipt).

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

A partnership instrument is chargeable under the partnership article of Schedule I-A as applicable in Punjab, or the corresponding Chandigarh entry, and the duty often depends on the capital put in. This drafter could not confirm one current figure for either, so none is stated. Ask on the official e-stamping portal or at the Sub-Registrar counter before buying the stamp, and e-stamp before signing. A later change in the partners or shares is a fresh instrument.

Registration

This agreement is not compulsorily registrable if capital is cash, cattle and equipment only; it would be if a partner brought land into the firm. Separately, the firm itself may be registered with the Registrar of Firms under the Indian Partnership Act, 1932. Registration of the firm is not compulsory, but an unregistered firm, and its partners, are barred by section 69 of that Act from suing to enforce a right under a contract of the firm, with narrow exceptions, so registering is usually wise.

Notarisation

Not required. Either party may have it notarised for extra comfort that the signatures are genuine; carry original photo ID.

Witnesses

Not required by law, but two adult witnesses who are not parties are customary in village practice and are provided for below.
