Why you need it

When you need it

What a society issues to evidence a member's shares (usually 5-10 shares of Rs 50 each) and, with the Register of Members, the right to occupy a flat — needed for a bank loan or a buyer's due diligence. Issued on admission (Maharashtra: within 6 months — Rule 21, MCS Rules 1961, Bye-law 9); endorsed on transfer; reissued as a duplicate after loss. For Maharashtra, Karnataka, Delhi, Gujarat, Tamil Nadu, West Bengal. Not for an AOA/RWA (no share capital); not to transfer the flat — needs a registered deed.

Stamp duty

Chargeable — evidences title to shares in a body corporate (Art.17, Sch.I, Maharashtra Stamp Act 1958; Art.19, Indian Stamp Act 1899 elsewhere), but nominal: at typical share values (Rs 250-500) it's Re 1/certificate. A duplicate is stamped the same; its indemnity bond/affidavit carries its own, non-nominal stamp. The endorsement is NOT the transfer instrument — the sale/gift deed is; confirm separately whether the share transfer draws duty under Art.62 on the transfer form.

Registration

None — not among s.17, Registration Act 1908's registrable documents. The Register of Members entry (s.38, MCS Act 1960) gives it effect — the register is the record, the certificate only evidences it. The flat's sale/gift deed is separately registrable; endorsing the certificate is no substitute.

Notarisation

The certificate isn't notarised. Notarisation belongs to the duplicate's papers — the affidavit/declaration of loss and indemnity bond, on stamp paper, notarised before the committee resolves to issue it (abroad: an Indian consular officer). Banks want a Secretary-certified copy instead, never the original.

Witnesses

No attesting witnesses — not a bilateral instrument. Required: bye-law-prescribed signatures plus the common seal (Maharashtra: Chairman, Secretary, one committee member — Bye-law 10, Rule 21). One signature alone, or no seal, is defective — a lender's first objection. Sign in ink; record the issue in that meeting's minutes.

  1. Authority for issue. This certificate is issued by the Society, which is a body corporate with a common seal by virtue of its registration under the said Act, pursuant to the resolution of the Managing Committee referred to in clause 2 and in accordance with Rule 21 of the Maharashtra Co-operative Societies Rules, 1961 read with Bye-law Nos. 9 and 10 of the Model Bye-laws, 2014 adopted by the Society.
  1. Restriction on transfer. These shares are not transferable except in the manner and to the extent permitted by the said Act, the Rules and the bye-laws of the Society. No transfer takes effect against the Society unless the requirements of the bye-laws as to notice, application, any minimum period of holding, the prior approval of the Managing Committee and the admission of the transferee to membership have been satisfied, and unless the transfer is recorded in the Register of Members.
